Bank Asia has announced an auction to sell the assets of publicly listed Hamid Fabrics, a subsidiary of Mahin Group, in a bid to recover an outstanding loan of Tk55.96 crore. The auction follows provisions of the Money Loan Court Act, 2003.

The notice, published in daily newspapers last week, invites interested buyers to submit price quotations by 29 December. The auction includes 296.50 decimals of land, along with the factory building and machinery, located in Narsingdi, all owned by Hamid Fabrics.

Abdullah Al Mahmud, managing director of Hamid Fabrics, told TBS, “This is very unfortunate. We are in talks with the bank to resolve the matter and hope it will be resolved soon.”

Sources at the bank said the company initially took a demand loan for working capital, which was later converted into a term loan. Despite multiple notices, Hamid Fabrics failed to make timely loan installments, prompting the auction proceedings.

Hamid Fabrics’ factory has three production units. The woven fabric unit has an installed capacity to produce 32.40 million yards annually, while the weaving units have an annual capacity of 9.88 million yards, and the dyeing unit has about 1.37 million kg yarn capacity.

According to its financial report, Hamid Fabrics has assets valued at Tk571 crore and equity totalling Tk 296 crore.

According to industry insiders, the entire Narayanganj-Narsingdi region is severely impacted by a gas crisis, including the area where Hamid’s factory is located. Consequently, most factories in the region have been unable to operate at full capacity.

To mitigate this issue, Hamid Fabrics invested in and activated alternative energy sources like LPG, incurring costs of at least Tk10 lakh every 36 to 48 hours. This has significantly increased their operational expenses, said a senior officer of the company.

Business deterioration

Hamid Fabrics reported that its revenue dropped over 52% to Tk24.87 crore in the July-September quarter of the fiscal year 2024-25 compared to the same time of the previous year.

During the period, it incurred a loss of Tk9.65 crore. At the end of September, its earnings per share stood at Tk1.06 negative.

The company said in its price-sensitive statement, that revenue has decreased significantly due to a reduction of sale orders from the global buyers. As a result, profitability during the quarter has decreased accordingly which has affected earnings per share.

The board of the company has decided not to pay dividends to its shareholders for the last fiscal year due to incurring a Tk37 crore loss.

The auditor of the company said in the audited report for FY24, that Hamid Fabrics has provided cash salaries amounting to Tk1.28 crore to head office employees and Tk1.56 crore to factory employees, which constitutes a violation of the Income Tax Act 2023.

Its highest dividend payout was 20% in FY14 and FY15. Since then, the dividend payout has gradually decreased. In the last three years leading up to FY23, it has only paid a 5% cash dividend to its shareholders.

Hamid Fabrics was listed on the stock exchanges in 2014. It raised Tk105 crore through issuing shares at Tk35 each including a premium of Tk25.

It spent Tk30 crore for repaying loans from the public fund, while Tk72 crore for business expansion.

Hamid Fabrics shares ended 3.12% lower at Tk9.30 on Thursday at the Dhaka Stock Exchange.

To meet regulatory requirements, Salvo Chemical Industry Ltd has revised its plan and now decides to issue shares at Tk 16 each to its existing sponsor-directors, instead of the earlier price of Tk 10 each.

In a price-sensitive disclosure on Thursday, the company referred to earlier news from May 23, and said the board of directors

decided to re-apply to the Bangladesh Securities and Exchange Commission (BSEC) with the new share price of Tk 16 each, including a premium of Tk 6.

In March this year, the BSEC asked Salvo Chemical to ensure that sponsor-directors hold a minimum 30 per cent stake in the company within a year. Currently, sponsor-directors hold 25.18 per cent, meaning the newly issued shares will help raise their stake to meet the regulatory requirement.

Following the regulatory order, the board of of Salvo Chemical had initially approved a plan on May 23 to increase the paid-up capital by issuing 6.4 million new shares to its existing sponsor-directors through a private placement at Tk 10 each.

The company then applied to raise Tk 64 million through the issuance of 6.4 million shares, but now, with the revised share price, the total amount will increase accordingly.

When the company initially decided to issue shares at face value, the share price in the secondary market was Tk 50 each, raising concerns that the move would be unfair to general shareholders, as this will result in significant dilution of earnings. General shareholders will be losers as sponsors-directors will get shares cheaply.

The increase in the number of shares will dilute earnings per share, meaning general shareholders, who currently hold a 66.44 per cent stake in the company, will have to share profits with sponsor-directors disproportionately.

However, on October 15, the securities regulator rejected Salvo Chemicals’ request to raise its paid-up capital by issuing shares at Tk 10 each to the company’s existing sponsors and directors through private placement, citing the need to protect the greater interest of general investors.

Salvo Chemical, which produces sulphuric acid, sulphate, battery-grade water and glucose, has reported a 12 per cent year-on-year higher profit to Tk 108 million in FY24, riding on higher sales.

Its first-quarter profit, however, plummeted 82 per cent year-on-year to Tk 8.45 million for the July-September period this year due to higher production costs and rising raw material prices, both locally and for imports.

The company’s stock price closed at Tk 24.1 on Thursday, losing 4.75 per cent over the day before.

সপ্তাহের চতুর্থ কর্মদিবস বুধবার (০৪ ডিসেম্বর) প্রধান শেয়ারবাজার ঢাকা স্টক এক্সচেঞ্জে (ডিএসই) লেনদেনে অংশ নেওয়া ৩৯৪টি কোম্পানির মধ্যে ২০৬টির দর কমেছে। আজ সবচেয়ে বেশি দর কমেছে এমারেল্ড অয়েল ইন্ডাস্ট্রিজ লিমিটেডের। স্টকনাও সূত্রে এই তথ্য জানা গেছে।

এদিন কোম্পানিটির শেয়ার দর আগের দিনের তুলনায় ২ টাকা ৯০ পয়সা ৯.৭৬ শতাংশ কমেছে। যার ফলে ডিএসইর দর পতনের শীর্ষ তালিকায় প্রথম স্থানে স্থান নিয়েছে কোম্পানিটির শেয়ার।

এদিকে গত সপ্তাহে টানা তিন কার্যদিবস কোম্পানিটির দর ২৮ টাকা ৯০ পয়সা থেকে বেড়ে ৩৫ টাকা ৮০ পর্যন্ত ওঠে। কোম্পানিটি গত নভেম্বর থেকে ধারাবাহিক দরপতনে থাকায় বিনিয়োগকারীরা প্রায় নিঃস্ব। তাই দরে কিছুটা উর্ধ্বগতি দেখে অনেকেই আবার লোকসান সমন্বয়ের আশায় শেয়ারটিতে বিনিয়োগ করেছেন। কিন্তু লেনদেন শেষ হওয়ার পর গত ২ ডিসেম্বর লেনদেন শেষ হওয়ার পর বেলা আনুমানিক ২.৫৫ মিনিটে ডিএসইর ওয়েবসাইটে কোম্পানিটিকে ‘জেড ক্যাটাগরিতে’ স্থানান্তরের নিউজটি প্রকাশ করা হয়। এরপর থেক টানা দুই কার্যদিবস ধরে সর্বোচ্চ দর হারিয়ে দরপতনের শীর্ষ রয়েছে কোম্পানিটি। বিনিয়োগকারীদের অভিযোগ, বিএসইসি কোম্পানিকে শাস্তির আওতায় আনুক। কিন্তু তা না করে বিনিয়োগকারীদের সর্বস্বান্ত করছে। গত ছয় মাস কোম্পানি উৎপাদন বন্ধ। এ বিষয়ে বিএসইসি বা ডিএসই কতৃপক্ষ জানেই না। আর ছয় মাস পর যখন টনক নড়ল তখনই তড়িৎ গতিতে সিদ্ধান্ত নিলো ক্যাটাগরি পরিবর্তনের। এ যেন উদোর পিন্ডি বুধোর ঘাড়ে চড়ালো।

এদিকে কোম্পানিতে যোগাযোগ করলে কোম্পানির দায়িত্বশীল পদে থাকা নাম প্রকাশে অনিচ্ছুক একজন জানান, বছর শেষের দিকে থাকলে এ কোম্পানির ডিভিডেন্ড ঘোষনা কিংবা এজিএম সংক্রান্ত বিষয়ে কোনো কিছুই সম্পর্কে এখন ও পর্যন্ত বলতে পারছেন না। কেন বিনিয়োগকারীদের হাতে হারিকেন ধরিয়ে দেয়া হলো এ প্রশ্নের জবাবে নিছক উত্তর আমরা কাউকে ডেকে আনিনি কিংবা আমাদের শেয়ারে বিনিয়োগ করতে বলিনি। দীর্ঘ দিন পর পর্ষদ পুনরায় গঠনের পর চমকপ্রদ ডিভিডেন্ড দয়া ও ইপএস দেখানো কোম্পানি রাতারাতি ধসে পড়ার কারন জানতে চাইলে তিনি জানান, গ্যাস সংকটের কারনে কোম্পানিটি ঠিকমতো উৎপাদন করতে পারছিলো না। তাই পুনরায় উৎপাদন চালুর জন্য (গ্যাস সমস্যা সমাধানে) বিকল্প হিসেবে বয়লার বসানোর জন্য আনা হয়েছে। তবে কবে নাগাদ বসানো হবে বিষয়ে কিছু জানাতে পারেন নি তিনি।

বিনিয়োগকারীরা ক্ষোভ প্রকাশ করে জানান, যারা এ শেয়ারটি নিয়ে ফায়দা লুটে নিলো তারা ধরা ছোঁয়ার বাইরে। মধ্যখানে বলির পাঠা হলাম আমরা। তাছাড়া এ চেয়ারম্যান আসার পর থেকেই যুগোপযোগী কোনো সিদ্ধান্তের প্রতিফলন ঘটেনি। তারা জানান, অন্তর্বর্তীকালীন সরকার গঠনের পর বিনিয়োগকারীরা আশায় বুক বাঁধেন। হযতো তাদের ভাগ্যের চাকা ঘুরবে। কিন্তু আশায় গুঁড়েবালি। তারা বলেন, শেয়ারবাজার ঝুঁকিপূর্ণ। না জেনে শুনে বিনিয়োগ করলে ক্ষতির কবলে পড়ার সম্ভাবনা রয়েছে। কিন্তু আমরা তো বিনিয়োগ করেছি কোম্পানির পারফরম্যান্স দেখে। তারপরও কি বলবেন এ দায়টা শুধু আমাদের?

Aziz Pipes has been out of production since May due to a shortage of working capital, with losses piled up in the four years to FY24.

Currently, its liability is more than its assets, which is why the auditor said the company is at risk of going out of business.

The listed uPVC pipe producer’s accumulated losses amounted to Tk 322.48 million as of June this year. Its equity turned Tk 199.4 million in the negative in FY24, according to the auditor.

Moreover, the company has a huge amount of unpaid loans that will be difficult to pay off with its inadequate assets.

The auditor said it did not find any plan to address the financial problem.

“No management plan was provided to support the assumption that the company can continue as a going concern…. We believe that there are material uncertainties that cast significant doubt on the company’s ability to continue as a going concern,” said the auditor.

Unpaid loans

Uttara Bank has filed lawsuits claiming dues of Tk 725.05 million including interest up until August 2018, according to the auditor.

Also, Dutch Bangla Bank Ltd. claims a total of Tk. 340.57 million in a case filed against Aziz Pipes.

The aggregate payment to be made is more than Tk 1 billion but the company has assets worth only Tk 334 million.

So, the company will not be able to pay back its loans by selling its assets.

The auditor is also skeptical about the value of the assets of the company.

The company’s financial statement showed properties, plant, and equipment of Tk. 233.12 million, inventories Tk 55.09 million, trade receivables Tk 28.87 million, and advances, deposits & prepayments of Tk 17.72 million.

The auditor said it was unable to verify or confirm the existence of some of the assets mentioned in the company documents.

During the audit, the auditor also found that most of the inventories were “slow-moving” items.

Despite this poor state of the company, the stock of Aziz Pipes increased 1.56 per cent to Tk 52.10 per share on Tuesday on the Dhaka Stock Exchange.

তথ্যানুসারে, ড্যাফোডিল কম্পিউটার্স তাদের মূল গ্রুপ ড্যাফোডিল ফ্যামিলি কনসার্নের কাছ থেকে নেয়া ঋণকে ইকুইটিতে রূপান্তরের সিদ্ধান্ত নিয়েছে। এজন্য ১০ টাকা অভিহিত মূল্যে কোম্পানিটি ৪ কোটি ৬৭ লাখ শেয়ার ইস্যু করা হবে। নিয়ন্ত্রক সংস্থা বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশনের (বিএসইসি) অনুমোদন সাপেক্ষে এ শেয়ার ইস্যু করা হবে।

চলতি ২০২৪-২৫ হিসাব বছরের প্রথম প্রান্তিকে (জুলাই-সেপ্টেম্বর) ড্যাফোডিল কম্পিউটার্সের শেয়ারপ্রতি আয় (ইপিএস) হয়েছে ১৬ পয়সা, আগের হিসাব বছরের একই সময়ে যা ছিল ২০ পয়সা। গত ৩০ সেপ্টেম্বর শেষে কোম্পানিটির শেয়ারপ্রতি নিট সম্পদমূল্য (এনএভিপিএস) দাঁড়িয়েছে ১৩ টাকা ৪০ পয়সায়।

সর্বশেষ সমাপ্ত ২০২৩-২৪ হিসাব বছরে বিনিয়োগকারীদের জন্য ৫ শতাংশ নগদ লভ্যাংশ ঘোষণা করেছে ড্যাফোডিল কম্পিউটার্সের পর্ষদ। আলোচ্য হিসাব বছরে কোম্পানিটির ইপিএস হয়েছে ২১ পয়সা, আগের হিসাব বছরে যা ছিল ৫৪ পয়সা। গত ৩০ জুন শেষে কোম্পানিটির এনএভিপিএস দাঁড়িয়েছে ১৩ টাকা ২৪ পয়সায়। ঘোষিত লভ্যাংশ ও অন্যান্য এজেন্ডায় বিনিয়োগকারীদের অনুমোদন নিতে ২৯ ডিসেম্বর বার্ষিক সাধারণ সভা (এজিএম) আহ্বান করা হয়েছে।

৩০ জুন সমাপ্ত ২০২৩ হিসাব বছরে বিনিয়োগকারীদের জন্য ৫ শতাংশ নগদ লভ্যাংশ ঘোষণা করেছে কোম্পানিটি। ২০২২ হিসাব বছরেও শেয়ারহোল্ডারদের ৫ শতাংশ নগদ লভ্যাংশ দিয়েছে কোম্পানিটি। ২০২১ হিসাব বছরে ৬ শতাংশ নগদ লভ্যাংশ পেয়েছিলেন শেয়ারহোল্ডাররা। এছাড়া ২০২০ হিসাব বছরে ৮ শতাংশ, ২০১৯ হিসাব বছরে ১০ শতাংশ ও ২০১৮ হিসাব বছরে ১২ শতাংশ নগদ লভ্যাংশ দিয়েছিল প্রতিষ্ঠানটি।

ড্যাফোডিল কম্পিউটার্স লিমিটেডের সার্ভিলেন্স রেটিং দীর্ঘমেয়াদে ‘‌এ প্লাস’ ও স্বল্পমেয়াদে ‘‌এসটি-ওয়ান’। ৩০ জুন সমাপ্ত ২০২৩ হিসাব বছরের নিরীক্ষিত আর্থিক প্রতিবেদনের ওপর ভিত্তি করে এ প্রত্যয়ন করেছে ন্যাশনাল ক্রেডিট রেটিংস লিমিটেড।

২০০৬ সালে পুঁজিবাজারে তালিকাভুক্ত কোম্পানিটির অনুমোদিত মূলধন ২০০ কোটি ও পরিশোধিত মূলধন ৪৯ কোটি ৯১ লাখ ২০ হাজার টাকা। রিজার্ভে রয়েছে ১৭ কোটি ৬২ লাখ টাকা। মোট শেয়ার সংখ্যা ৪ কোটি ৯৯ লাখ ১২ হাজার ২৬২। এর মধ্যে উদ্যোক্তা পরিচালকদের কাছে ৪১ দশমিক ৪০ শতাংশ, প্রাতিষ্ঠানিক বিনিয়োগকারীদের কাছে ৩১ দশমিক ৫১, বিদেশীদের কাছে দশমিক ১০ ও সাধারণ বিনিয়োগকারীর হাতে বাকি ২৩ দশমিক ৯৯ শতাংশ শেয়ার রয়েছে।
