আসন্ন ত্রয়োদশ জাতীয় সংসদ নির্বাচন ও গণভোট উপলক্ষে আগামী ১১ ও ১২ ফেব্রুয়ারি সারাদেশে নির্বাচনকালীন নির্বাহী আদেশে সরকারি ছুটি ঘোষণা করেছে সরকার। পাশাপাশি শিল্পাঞ্চলের শ্রমিক ও কর্মচারীদের জন্য আগামী ১০ ফেব্রুয়ারি বিশেষ ছুটি দেওয়া হয়েছে।

রোববার (২৫ জানুয়ারি) জনপ্রশাসন মন্ত্রণালয় থেকে এ সংক্রান্ত প্রজ্ঞাপন জারি করা হয়।

প্রজ্ঞাপনে বলা হয়, উপদেষ্টা পরিষদের বৈঠকের সিদ্ধান্ত অনুযায়ী ত্রয়োদশ জাতীয় সংসদ নির্বাচন ও গণভোট উপলক্ষ্যে আগামী ১১ ও ১২ ফেব্রুয়ারি বুধ ও বৃহস্পতিবার সব সরকারি, আধা-সরকারি, স্বায়ত্তশাসিত ও বেসরকারি অফিস, প্রতিষ্ঠান ও সংস্থায় কর্মরত কর্মকর্তা-কর্মচারী এবং সরকারি ও বেসরকারি শিক্ষা প্রতিষ্ঠানের শিক্ষক, কর্মকর্তা ও কর্মচারীদের ভোটাধিকার প্রয়োগ ও ভোট গ্রহণের সুবিধার্থে সারাদেশে নির্বাচনকালীন নির্বাহী আদেশে সরকারি ছুটি ঘোষণা করা হলো। একই সঙ্গে শিল্পাঞ্চলের শ্রমিক ও কর্মচারীদের জন্য আগামী ১০ ফেব্রুয়ারি মঙ্গলবার বিশেষ ছুটি ঘোষণা করা হয়েছে।

শেয়ারবাজারে তালিকাভুক্ত পর্যটন ও হোটেল খাতের কোম্পানি দ্য পেনিনসুলা চিটাগং লিমিটেড দীর্ঘ প্রতীক্ষার পর ‘জেড’ ক্যাটাগরি থেকে বেরিয়ে এসেছে। কোম্পানিটিকে বর্তমান ‘জেড’ ক্যাটাগরি থেকে উন্নীত করে ‘বি’ ক্যাটাগরিতে স্থান দেওয়া হয়েছে।

আজ রোববার (২৫ জানুয়ারি) ঢাকা স্টক এক্সচেঞ্জ (ডিএসই) সূত্রে এ তথ্য জানা গেছে।

ডিএসইর সংবাদ অনুযায়ী, কোম্পানিটির এই নতুন ক্যাটাগরি আগামীকাল ২৬ জানুয়ারি (সোমবার) থেকে কার্যকর হবে।

মূলত ৩০ জুন, ২০২৫ সমাপ্ত অর্থবছরের জন্য ঘোষিত ডিভিডেন্ড সফলভাবে শেয়ারহোল্ডারদের মাঝে বিতরণ সম্পন্ন করার প্রতিবেদন দাখিল করায় স্টক এক্সচেঞ্জ কর্তৃপক্ষ এই পরিবর্তনের সিদ্ধান্ত নিয়েছে।

পেনিনসুলা চিটাগং তাদের শেয়ারহোল্ডারদের জন্য সমাপ্ত অর্থবছরে ০.৫০ শতাংশ ক্যাশ ডিভিডেন্ড প্রদান করেছে। শেয়ারবাজারের নিয়ম অনুযায়ী, কোনো কোম্পানি ডিভিডেন্ড প্রদান ও বিতরণে সক্ষম হলে এবং অন্যান্য কমপ্লায়েন্স পূরণ করলে তাকে নিম্ন ক্যাটাগরি থেকে উন্নীত করা হয়। কোম্পানিটি ক্ষুদ্র হলেও ডিভিডেন্ড বিতরণ নিশ্চিত করায় বিনিয়োগকারীদের মধ্যে ইতিবাচক বার্তা পৌঁছেছে।

ক্যাটাগরি পরিবর্তনের ফলে আগামীকাল থেকে পেনিনসুলা চিটাগংয়ের শেয়ার লেনদেনের ক্ষেত্রে আগের চেয়ে বেশি সুবিধা পাওয়া যাবে। বিশেষ করে ‘জেড’ ক্যাটাগরিতে থাকা অবস্থায় লেনদেনের নিষ্পত্তির সময়সীমা এবং মার্জিন ঋণের ক্ষেত্রে যে বিধিনিষেধ ছিল, ‘বি’ ক্যাটাগরিতে উন্নীত হওয়ায় সেসব সীমাবদ্ধতা শিথিল হবে। এটি শেয়ারটির তারল্য বৃদ্ধিতেও সহায়তা করবে।

Marico Bangladesh has secured double-digit revenue growth year-on-year to Tk 5.33 billion in the third quarter through December 2025, the highest quarterly revenue since its listing in the secondary market.

The India-based personal care products manufacturer, whose financial year runs from April to March, reported 32 per cent year-on-year revenue growth in October-December last year.

The growth, achieved amid an adverse macroeconomic situation, was driven by the company’s flagship brand Parachute coconut oil and the launch of value-added products in the hair care and skin care categories, according to the company.

Marico launched more than a dozen new products last year due to growing demand despite economic and political challenges. Its third manufacturing unit at the National Special Economic Zone in Mirsarai, Chattogram, which went into operation in July 2023, helped boost production by approximately 55 per cent in the year to March 2025.

Compared to revenue, Marico’s profit rose marginally-by 7.15 per cent year-on-year to Tk 1.50 billion in the quarter through December 2025-mainly due to higher input costs and a surge in finance expenses.

“Marico sustained growth momentum in sales owing to strong consumer trust in its products,” said Akramul Alam, head of research at Royal Capital.

The company’s finance costs rose 75 per cent year-on-year to Tk 161 million in the quarter to December as lease liabilities increased significantly during the period.

“Higher production costs and increased finance expenses hit the company’s bottom-line growth. Otherwise, profit would have been much higher,” said Alam after a review of the financial statements published by the company.

The cost of sales increased due to higher input costs, as Marico is largely dependent on imported raw materials.

The cost of sales, which includes all associated costs to manufacture products, stood at Tk 2.96 billion in the third quarter, which was 55.6 per cent of total sales, up from 41 per cent in the same quarter a year ago.

The company managed to offset some of the costs by optimising operating expenses through a 14 per cent year-on-year reduction in selling and distribution expenses.

“Strong fundamentals, brand value, good management, and quality of products will help Marico continue on the growth trajectory,” Alam added.

Marico’s nine-month profit also rose 8.50 per cent to Tk 4.98 billion in April-December 2025, while revenue jumped 24 per cent to Tk 15.45 billion during the period. The nine months’ revenue is almost as much as last year’s annual revenue-Tk 16.31 billion.

Marico declares interim dividend

Based on the nine-month audited financials, Marico has declared a 475 per cent interim cash dividend. As a result, investors will receive Tk 47.5 per share as cash dividends from earnings of Tk 47.57 per share in the third quarter of 2025.

Marico has remained consistent in dividend distribution for the last 16 years since its listing, with annual payouts ranging between 200 per cent and 3,840 per cent, supported by stable earnings and strong cash flows.

Meanwhile, the company had already paid a total of 1,100 per cent interim cash dividends for the first and second quarters through September last year.

Shareholders are going to receive Tk 157.57 per share as cash dividends for the nine months through December last year against earnings of Tk 158.09 per share during the period, meaning the company will disburse almost all the profit earned.

Its net operating cash flow per share (NOCFPS) increased to Tk 109.79 for the nine months through December 2025 from Tk 88.35 in the same period last year, due to higher collection from customers and lower payments to suppliers.

The net asset value (NAV) per share, however, fell to Tk 92.22 in December last year from Tk 241.29 in March last year due to annual and interim cash dividend payouts.

ব্যবসায় সম্প্রসারণের লক্ষ্যে ২০১৮ সালে শেয়ারবাজারে বিনিয়োগকারীদের থেকে ২০ কোটি টাকা উত্তোলন করে ইন্দো-বাংলা ফার্মাসিউটিক্যালস। তবে ব্যবসা সম্প্রসারণ না হলেও সংকুচিত হয়েছে। যে কোম্পানিটিতে ভূয়া সম্পদ কেনার নামে কোটি টাকা গায়েব করে দিয়েছে পরিচালনা পর্ষদ। যাতে কোম্পানিটির অস্তিত্ব টিকিয়ে রাখাই হুমকিতে পড়েছে।

কোম্পানিটির পর্ষদে চেয়ারম্যান হিসেবে রয়েছেন আয়েশা সিদ্দিকা। এছাড়া ব্যবস্থাপনা পরিচালক হিসেবে এ.এফ.এম আনোয়ারুল হক এবং পরিচালক হিসেবে রয়েছেন আজিজা ইয়াসমিন, মো. শরিকুল আনাম, হাফিজা ইয়াসমিন, এ.কে.এম হারুনুর রশীদ, ইসরাত জাহান রিমি ও মো. নজরুল ইসলাম রয়েছেন।

ইন্দো-বাংলা কর্তৃপক্ষ ভয়াবহ প্রতারণা করছে বলে জানিয়েছেন কোম্পানির এক কর্মকর্তা। নাম প্রকাশে অনিচ্ছুক ওই কর্মকর্তা অর্থ বাণিজ্যকে বলেন, কোম্পানিটিতে যে যার মতো করে চুষে নিচ্ছে। এখন আর তেমন নেই। লুটেপুটে এক প্রকার শেষ করে দিয়েছে। ভূয়া সম্পদ কেনার নামে টাকা হাতিয়ে নিয়েছে। এমন কোন প্রতারণা নেই, যা কোম্পানিটিতে করা হয়নি।

২০১৮ সালে শেয়ারবাজার থেকে ২০ কোটি টাকা উত্তোলন করে ইন্দো-বাংলা ফার্মা। এরমধ্যে ৫.৮৬ কোটি টাকা দিয়ে ভবন নির্মাণ ও ১২.৪৭ কোটি টাকা দিয়ে মেশিনারিজ কিনবে বলে জানিয়েছিল। ব্যবসা সম্প্রসারণের লক্ষ্যে শেয়ারবাজার থেকে এই অর্থ উত্তোলন করা হয়।

তবে কোম্পানিটির ব্যবসা আরও সংকুচিত হয়েছে। এ কোম্পানিটির আইপিওকালীন ৭৩ কোটি টাকার পরিশোধিত মূলধন দিয়ে শেয়ারপ্রতি ২.৬২ টাকা হিসাবে ৫.৯০ কোটি টাকার মুনাফা হয়েছিল। সেই কোম্পানির আইপিও ও বোনাস শেয়ার দিয়ে পরিশোধিত মূলধন ১১৬.২১ কোটি টাকায় উন্নিত করা হয়েছে। অর্থাৎ পরিশোধিত মূলধন বেড়েছে ৪৩.২১ কোটি টাকা বা ৫৯ শতাংশ। মূলধনে এমন উত্থান হলেও কোম্পানিটি তলানিতে। শেষ ২ অর্থবছর ধরে রয়েছে লোকসানে। এরমধ্যে ২০২৪-২৫ অর্থবছরে শেয়ারপ্রতি ০.৩২ টাকা করে মোট ৩.৬৮ কোটি টাকা লোকসান হয়েছে।

এ কোম্পানি কর্তৃপক্ষ ক্যাপিটাল ওয়ার্ক-ইন-প্রগ্রেস (সিডব্লিউআইপি) (যেসব স্থায়ী সম্পদ ব্যবহার উপযোগী হয়নি) নামের ভূয়া সম্পদ কেনার তথ্য দেখিয়ে কয়েক কোটি টাকা গায়েব করে দিয়েছে।

ইন্দো-বাংলা কর্তৃপক্ষ আর্থিক হিসাবে ২০২৫ সালের ৩০ জুন ক্যাপিটাল ওয়ার্ক-ইন-প্রগ্রেস (সিডব্লিউআইপি) দেখিয়েছে ৩.৩২ কোটি টাকা। এরমধ্যে ব্যবহার উপযোগী করার জন্য ২.৩১ কোটি টাকার মেশিনারীজ ও ১.০১ কোটি টাকার নির্মাণাধীন অবকাঠামো দেখায়। এছাড়া ওই অর্থবছরে ৬১ লাখ টাকার অবকাঠামো নির্মাণ সম্পন্ন হওয়ায় সিডব্লিউআইপি থেকে স্থায়ী সম্পদে ট্রান্সফার করা হয়েছে। তবে কোম্পানি কর্তৃপক্ষ এসব সম্পদের অস্তিত্ব নিয়ে নিরীক্ষককে কোন প্রমাণাদি দেখাতে পারেনি। এভাবে ভূয়া প্রকল্প ব্যয় দেখিয়ে হাতিয়ে নিয়েছে কয়েক কোটি টাকা।

এই কোম্পানি কর্তৃপক্ষ গোপনে টাকা আত্মসাৎ করে হাতে নগদ ও ব্যাংকে জমা রয়েছে বলে আর্থিক হিসাবে উল্লেখ করেছে। যাতে আর্থিক হিসাবে উল্লেখ করা ৪৩ লাখ টাকার নগদ তথ্যের ব্যাংক বুক/রেজিস্টার দেখাতে পারেনি।

ওষুধ বিক্রি নিয়েও প্রতারণার আশ্রয় নিয়েছে ইন্দো-বাংলা কর্তৃপক্ষ। আর্থিক হিসাবে তারা ২১.১৮ কোটি টাকার (ভ্যাটসহ) ওষুধ বিক্রি করেছে দাবি করলেও নিরীক্ষক ব্যাংকে পেয়েছেন ১৫.১১ কোটি টাকার ডিপোজিট। এক্ষেত্রে পার্থক্য ৬.০৭ কোটি টাকা। এ বিষয়ে নিরীক্ষককে জবাব দিতে পারেনি ইন্দো-বাংলা কর্তৃপক্ষ।

এছাড়া ওই ওষুধ বিক্রির মধ্যে ২.৭৬ কোটি টাকার ভ্যাট জমার প্রমাণাদি দেখাতে পারেনি ইন্দো-বাংলা কর্তৃপক্ষ।

ইন্দো-বাংলা কর্তৃপক্ষ আর্থিক হিসাবে ১২৬.৪৬ কোটি টাকার স্থায়ী সম্পদ উল্লেখ করেছে। তবে এরমধ্যে জমি উন্নয়নের ব্যয়ের তথ্য দেখাতে পারেনি। এছাড়া কোম্পানিটির মজুদ পণ্য হিসাবে প্রস্তুতকৃত ৭৮ লাখ টাকার ৩৭০৫০টি ‘ক্যালফ্রেশ-এম ট্যাবলেট’ কম দেখিয়েছে।

নিরীক্ষক জানিয়েছেন, কোম্পানিটির গত ২ অর্থবছরে ৭.৭৮ কোটি টাকা লোকসান হয়েছে। এছাড়া অপ্রত্যাশিত সংকট মোকাবেলায় কোম্পানির আর্থিক স্থিতিশীলতা এবং তারল্য অপর্যাপ্ত অবস্থায় রয়েছে। এমনকি কোম্পানিটির ইন্টারনাল কন্ট্রোল ভেঙ্গে পড়েছে। এ অবস্থায় কোম্পানিটির অস্তিত্ব টিকিয়ে রাখা হুমকিতে পড়েছে বলে জানিয়েছেন নিরীক্ষক।

এসব বিষয়ে জানতে কোম্পানি সচিব মহি উদ্দিন অর্থ বাণিজ্যকে বলেন, কিছু সমস্যা হয়েছে। এগুলো সমাধানের চেষ্টা চলছে।

অনিয়মের বিষয়ে শেয়ারবাজার নিয়ন্ত্রক সংস্থা বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশনের (বিএসইসি) পরিচালক ও মূখপাত্র মো: আবুল কালাম অর্থ বাণিজ্যকে বলেন, অর্থবছর শেষে নিরীক্ষকের মতামতসহ তালিকাভুক্ত কোম্পানিগুলোর বার্ষিক প্রতিবেদন কমিশনে আসে। যা কমিশনের সংশ্লিষ্ট বিভাগ যাচাই-বাছাই করে। এতে কোন অনিয়ম বা অসঙ্গতি পেলে, কমিশন আইন অনুযায়ি ব্যবস্থা গ্রহণ করে। ইন্দো-বাংলায়ও তার ব্যতিক্রম হবে না।

উল্লেখ্য, ২০১৮ সালে শেয়ারবাজারে তালিকাভুক্ত হওয়া ইন্দো-বাংলার পরিশোধিত মূলধনের পরিমাণ ১১৬ কোটি ২১ লাখ টাকা। এরমধ্যে ৭৫.৫৭ শতাংশ মালিকানা রয়েছে শেয়ারবাজারের বিভিন্ন শ্রেণীর (উদ্যোক্তা/পরিচালক ছাড়া) বিনিয়োগকারীদের হাতে। কোম্পানিটির মঙ্গলবার (২০ জানুয়ারি) শেয়ার দর দাঁড়িয়েছে ১২.২০ টাকায়।

Square Pharmaceuticals’ Chairman Samuel S Chowdhury has announced that he will buy 20 lakh shares of the company at the prevailing market price, according to a disclosure filed with the Dhaka Stock Exchange (DSE) today (20 January). 

Under the plan, the shares, worth Tk43 crore with each costing Tk215.20, will be acquired from both the public market and through block transactions on the DSE within the next 30 working days.

Samuel Chowdhury already holds a significant stake in the company – 8.42 shares until June 2025 – and this latest planned purchase underscores the continued confidence of senior leadership in Square Pharma’s long-term prospects. 

Earlier this month, in a separate disclosures, Square Pharmaceuticals Managing Director Tapan Chowdhury, and Director Ratna Patra also announced plans to buy a total 30 lakh shares – with Tapan purchasing 20 lakh shares and Ratna 10 lakh – of the company at the market price within the next 30 working days. 

Until June 2025, Tapan held 8.55 crore shares and Ratna 7.95 crore shares of Square Pharmaceuticals.

Industry data shows that sponsor-directors of Square Pharmaceuticals have been steadily increasing their holdings, a trend often viewed by market observers as a sign of confidence in the company’s future performance. 

Square Pharmaceuticals is currently the second-largest listed company on the DSE by market capitalisation, valued at around Tk18,500 crore, which represents roughly 5.6% of the total market capitalisation of the bourse.

According to the company’s December shareholding statement, sponsors and directors jointly hold a combined 43.59% of the company’s shares, institutional investors own 14.54%, foreign investors 14.52%, and general investors account for the remaining 27.35%.

সূত্র জানায়, কোম্পানিটির শেয়ার আগামীকাল (২১ জানুয়ারি) থেকে ’এ’ ক্যাটাগরিতে লেনদেন করবে পুঁজিবাজারে।

কোম্পানিটি ৩০ জুন, ২০২৫ সালের সমাপ্ত হিসাব বছরে ঘোষিত ১০ শতাংশ বোনাস লভ্যাংশ দিয়ে এ’ ক্যাটাগরিতে উন্নীত হয়েছে।

কোম্পানিটির উদ্যোক্তা শেয়ারহোল্ডার তৃপ্তি ইন্ডাস্ট্রিজ অলিম্পিক ইন্ডাস্ট্রিজের নামে কোম্পানিটি প্রতিটি ১০ টাকার ২ লাখ শেয়ারে ২০ লাখ টাকা বিনিয়োগ করবে।

কোম্পানিটির অনুমোদিত মূলধন ৫০ কোটি টাকা। প্রতিটি ১০ টাকার শেয়ারে ৫ কোটি টাকা লভ্যাংশ দেবে। আর কোম্পানির পরিশোধিত মূলধন ৫০ লাখ টাকা। প্রতিটি ১০ টাকার শেয়ারে ৫ লাখ টাকা লভ্যাংশ দেবে।

ঢাকা স্টক এক্সচেঞ্জ (ডিএসই) সূত্রে এ তথ্য জানা গেছে।

সূত্র মতে, কোম্পানিটি ৩০ জুন, ২০২৫ সমাপ্ত অর্থবছরে সাধারণ বিনিয়োগকারীদের ১০ শতাংশ নগদ লভ্যাংশ দেওয়ায় ‘এ’ ক্যাটাগরিতে উন্নীত হয়েছে। আগামীকাল সোমবার (১৯ জানুয়ারি) থেকে কোম্পানিটি ‘এ’ ক্যাটাগরিতে লেনদেন করবে।

তবে ক্যাটাগরি পরিবর্তনের কারণে আগামী ৭ কার্যদিবসের মধ্যে কোম্পানিটিকে ঋণ সুবিধা দিতে ব্রোকার হাউজ এবং মার্চেন্ট ব্যাংককে নিষেধ করেছে ডিএসই।
