আফ্রাম্যাক্স অয়েল ট্যাংকার হলো সমুদ্রে বাংলাদেশি পতাকাবাহী সর্ববৃহৎ জাহাজ। এই ঋণসুবিধা বাংলাদেশের কোনো বেসরকারি ব্যাংকের শিপিং ও পেট্রোলিয়াম অবকাঠামো খাতে সর্ববৃহৎ একক বৈদেশিক মুদ্রার ঋণ। সম্প্রতি এমজেএল বাংলাদেশের সঙ্গে এ–সংক্রান্ত চুক্তি করেছে ব্র্যাক ব্যাংক।

ব্যাংকটি এক বিজ্ঞপ্তিতে এ তথ্য জানিয়েছে।

বিজ্ঞপ্তিতে বলা হয়েছে, এই চুক্তির অংশ হিসেবে এমজেএল বাংলাদেশ ইতিমধ্যে নিজেদের বহরে ‘এমটি ওমেরা গ্যালাক্সি’ নামক আফ্রাম্যাক্স শ্রেণির একটি তেলবাহী ট্যাংকার যুক্ত করেছে। প্রায় ১ লাখ ১৬ হাজার ডেডওয়েট টন (ডিডব্লিউটি) ধারণক্ষমতাসম্পন্ন এ জাহাজ বর্তমানে বাংলাদেশি পতাকা বহনকারী সর্ববৃহৎ সমুদ্রগামী জাহাজ। দেশীয় ও আন্তর্জাতিক পেট্রোলিয়াম কোম্পানিগুলোকে সমুদ্র পরিবহনসেবা প্রদান করে এমজেএল বাংলাদেশ।

এমজেএল বাংলাদেশ ‘এমটি ওমেরা লিবার্টি’ নামক আরেকটি আফ্রাম্যাক্স অয়েল ট্যাংকার কেনার উদ্যোগ নিয়েছে, যা বর্তমানে একটি বিশ্বখ্যাত জাহাজ নির্মাণ কারখানায় নির্মাণাধীন।

ব্র্যাক ব্যাংক আরও জানিয়েছে, ২ সেপ্টেম্বর ঢাকায় মবিল হাউসে আয়োজিত এক অনুষ্ঠানে এই চুক্তিতে স্বাক্ষর করেন ব্র্যাক ব্যাংকের ব্যবস্থাপনা পরিচালক ও প্রধান নির্বাহী কর্মকর্তা তারেক রেফাত উল্লাহ খান এবং এমজেএল বাংলাদেশের প্রধান নির্বাহী কর্মকর্তা মো. মুকুল হোসেন।

এ সময় উপস্থিত ছিলেন ব্র্যাক ব্যাংকের চেয়ারপারসন মেহেরিয়া এম হাসান এবং এমজেএল বাংলাদেশের ব্যবস্থাপনা পরিচালক আজম জে চৌধুরী, পরিচালক তানজিল চৌধুরীসহ উভয় প্রতিষ্ঠানের শীর্ষস্থানীয় কর্মকর্তারা।

এই অর্থায়ন সুবিধা এমজেএল বাংলাদেশকে নিজেদের বহরে আধুনিক জাহাজ যুক্ত করার সুযোগ দেবে, যা বাংলাদেশের সামুদ্রিক লজিস্টিক সক্ষমতাকে আরও শক্তিশালী করবে এবং আন্তর্জাতিক বাণিজ্য সহজতর করবে।

এ উদ্যোগ সম্পর্কে ব্র্যাক ব্যাংকের ব্যবস্থাপনা পরিচালক ও প্রধান নির্বাহী কর্মকর্তা তারেক রেফাত উল্লাহ খান বলেন, “এই চুক্তি বহুদিক থেকে একটি ব্যতিক্রমী উদ্যোগ। এটি শিপিং খাতে বাংলাদেশের কোনো বেসরকারি ব্যাংকের সর্ববৃহৎ বৈদেশিক মুদ্রায় মেয়াদি ঋণ, যা বাংলাদেশি পতাকা বহনকারী সমুদ্রগামী জাহাজবহরে যুক্ত করবে দেশের সর্ববৃহৎ জাহাজ। এটি বৃহৎ পরিসরে অর্থায়নের ক্ষেত্রে ব্র্যাক ব্যাংকের সক্ষমতারও প্রতিফলন। এই অর্থায়নসুবিধা সামুদ্রিক লজিস্টিক শক্তিশালী করার পাশাপাশি বাংলাদেশের ব্যবসা-বাণিজ্য ও দীর্ঘমেয়াদি অর্থনৈতিক উন্নয়নকে ত্বরান্বিত করবে। সেই সঙ্গে দেশে বৈদেশিক মুদ্রার প্রবাহ বৃদ্ধিতেও ভূমিকা রাখবে।”

শেয়ারবাজারে তালিকাভুক্ত কোম্পানি একমি পেস্টিসাইডস লিমিটেড-এর বিরুদ্ধে বিনিয়োগকারী ও নিয়ন্ত্রক সংস্থার সঙ্গে গুরুতর প্রতারণার অভিযোগ উঠেছে। বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশনের (বিএসইসি) এক তদন্ত প্রতিবেদনে কোম্পানিটির তালিকাভুক্তির আগের আর্থিক কারসাজি থেকে শুরু করে আইপিও অর্থের অপব্যবহার এবং বিনিয়োগকারীদের ভোট চুরির মতো চাঞ্চল্যকর তথ্য উঠে এসেছে।

বিএসইসির তদন্তে দেখা গেছে, একমি পেস্টিসাইডস তালিকাভুক্তির জন্য আবেদন করার সময় তাদের আর্থিক প্রতিবেদনে অসংগতিপূর্ণ তথ্য দিয়েছে। যেমন: পাঁচ বছরের শেয়ারপ্রতি আয় (ইপিএস) এবং নগদ প্রবাহে (এনওসিএফপিএস) গরমিল পাওয়া গেছে। ২০১৯ সালের দ্বিতীয়ার্ধে হঠাৎ করে ৯৭ শতাংশ পরিশোধিত মূলধন বাড়িয়ে ১০৫ কোটি টাকা দেখানো হয়, যা তদন্ত কর্মকর্তাদের কাছে সন্দেহজনক মনে হয়েছে। এমনকি, একই প্রসপেক্টাসে স্বতন্ত্র পরিচালক সম্পর্কেও ভিন্ন ভিন্ন তথ্য দেওয়া হয়েছিল।

শেয়ারবাজারে তালিকাভুক্ত হওয়ার পর কোম্পানিটি তাদের আইপিও তহবিল ব্যবহারের ক্ষেত্রে ব্যাপক অনিয়ম করেছে। তারা সময়মতো নিরীক্ষিত প্রতিবেদন জমা দেয়নি এবং অনুমোদিত খাতের বাইরে অর্থ ব্যবহার করেছে। সবচেয়ে গুরুতর অভিযোগ হলো, পরিচালকদের স্বার্থসংশ্লিষ্ট বিভিন্ন প্রতিষ্ঠানে ঋণ দেওয়ার প্রমাণ পাওয়া গেছে।

২০২১ সালে কোম্পানিটি সাউথইস্ট ব্যাংকে ছয়টি এফডিআর খুলে তা বন্ধক রেখে শান্ত এগ্রো অ্যান্ড ট্রেডিং ফার্মসকে ১৩ কোটি টাকা ঋণ দেয়। একইভাবে, ব্যবস্থাপনা পরিচালকের ছেলে শরীব ট্রেড সংস্থাকে সাত কোটি টাকা ঋণ দেওয়া হয়। এই বিশাল অঙ্কের ঋণ এখনো আদায় হয়নি, যা বিনিয়োগকারীদের ঝুঁকির মুখে ফেলেছে।

আইপিও প্রসপেক্টাসে উল্লেখিত কারখানা নির্মাণ ও নতুন কারখানা অধিগ্রহণের বিষয়েও বড় ধরনের গরমিল পাওয়া গেছে। তদন্ত দল সরেজমিনে গিয়ে দেখে, ১০ কোটি টাকা ব্যয়ে যে ইউনিটের কথা বলা হয়েছিল, সেটির কোনো অস্তিত্ব নেই। এর বদলে কয়েকটি ভাঙাচোরা ভবন ও একটি তিনতলা অফিস ভবন দেখানো হয়েছে। ব্যয় দেখানো হলেও সেটির কোনো প্রমাণ মেলেনি। নতুন কারখানা ও যন্ত্রপাতি অধিগ্রহণের ক্ষেত্রেও অগ্রগতি ছিল অস্বাভাবিকভাবে কম।

কোম্পানির বিরুদ্ধে সবচেয়ে চাঞ্চল্যকর অভিযোগ হলো ২০২৩ সালের বার্ষিক সাধারণ সভায় (এজিএম) বিনিয়োগকারীর ভোট চুরি। তদন্তে প্রমাণিত হয়েছে, এক হাজার ২৪৬ জন বিনিয়োগকারীর ভোট কৌশলে হ্যাক করা হয়েছিল। ডিএসইর আইটি বিভাগও এই ঘটনার সত্যতা নিশ্চিত করেছে। একটি মাত্র আইপি ঠিকানা থেকে একাধিক বিনিয়োগকারীর নামে ভোট দেওয়া হয়, যার ফলে শর্ত পূরণ না করেও আইপিও তহবিলের ব্যবহারের সময় বাড়ানোর প্রস্তাব পাস করানো হয়।

বুধবার (০৩ সেপ্টেম্বর) কোম্পানির পরিচালনা পর্ষদের সভায় গৃহীত এই সিদ্ধান্ত মূল্য সংবেদনশীল হিসেবে ওয়ালটনের ওয়েবসাইটে প্রকাশ করা হয়েছে।

ডিভিডেন্ড অনুমোদনের জন্য আগামী ২৮ অক্টোবর বার্ষিক সাধারণ সভা (এজিএম) অনুষ্ঠিত হবে। এর আগে ২৮ সেপ্টেম্বর রেকর্ড ডেট নির্ধারণ করা হয়েছে।

কোম্পানির তথ্য অনুযায়ী, বিগত অর্থবছরে ওয়ালটনের শেয়ারপ্রতি আয় (ইপিএস) আগের বছরের তুলনায় ২৪ শতাংশ কমে দাঁড়িয়েছে ৩৪ টাকা ২২ পয়সায়। রাজস্ব হ্রাস, আর্থিক ব্যয় বৃদ্ধি এবং বিতরণ খরচ বেড়ে যাওয়ায় এই মুনাফা কমেছে বলে জানায় প্রতিষ্ঠানটি।

একই সভায়, সহযোগী প্রতিষ্ঠান ওয়ালটন ডিজি-টেক ইন্ডাস্ট্রিজ লিমিটেডকে ওয়ালটন হাই-টেক ইন্ডাস্ট্রিজে একীভূত করার সিদ্ধান্ত নেওয়া হয়েছে। ওয়ালটন ডিজি-টেক বর্তমানে ল্যাপটপ, ডেস্কটপ, মোবাইল ফোন, প্রিন্টার, ইলেকট্রিক বাইকসহ বিভিন্ন আইটি পণ্য উৎপাদন করে থাকে।

Navana Pharmaceuticals has decided to repay the subscribed amount of its partially convertible bond earlier than maturity, without any conversion, due to undersubscription.

The drug manufacturer managed to raise only Tk 80 million of its targeted Tk 1.50 billion through bond issuance, aimed at paying off bank loans.

The subscription was open between August and September last year, but political unrest during that time severely affected the attempt to raise money through the debt security.

Navana Pharma applied to the Bangladesh Securities and Exchange Commission (BSEC) for an extension of the subscription period, but the commission formed after the political changeover refused to grant an extension.

Company secretary Lorens Shamol Mollick said the board of directors, in a meeting on Monday, decided to pay back the subscribed portion of the bond as the funds collected did not serve the purpose.

However, he declined to say how the company would repay its bank loans, which would have been partially settled with the bond proceeds if fully subscribed.

As of March this year, Navana Pharma’s short-term loans amounted to Tk 4.6 billion.

The bond repayment decision is subject to approval from the Bangladesh Securities and Exchange Commission, according to a filing on the stock exchange on Tuesday.

In March last year, Navana Pharma received regulatory approval to issue a partially convertible bond worth Tk 1.50 billion, with a face value of Tk 100,000 per unit, for a tenure of five years. The objective was to refinance the company’s bank loans.

A convertible bond is a fixed-income corporate debt security that provides interest payments but can be converted into a predetermined number of common stock or equity shares.

As per its original plan, Navana Pharma was supposed to convert 60 per cent of the bond, or Tk 900 million, into shares. It had announced that 20 per cent of the bond would be converted into shares each year starting from the third year, while the remaining amount would be repaid to investors upon maturity in the fifth year.

Navana Pharma entered the stock market in 2022, raising Tk 750 million under the book-building method. The funds were allocated for constructing a general manufacturing building, modernising and expanding the SVPO facility, and partially repaying loans.

As of June this year, the company had already utilised more than 97 per cent of its IPO funds.

Currently, Navana Pharma produces both human and animal drugs, which are sold in domestic as well as international markets.

Financial Performance

Navana Pharma posted a 20.5 per cent year-on-year growth in revenue to Tk 8.03 billion in FY24, while its profit surged 13 per cent year-on-year to Tk 404.63 million in the year.

It declared a 14 per cent cash dividend for the year.

In the nine months through March of FY25, profit rose 13 per cent year-on-year to Tk 375 million.

On Tuesday, Navana Pharma’s stock moved up 3.6 per cent to close at Tk 63.7 per share on the Dhaka Stock Exchange.

সূত্র মতে, বিএসইসির শর্ত অনুযায়ী টানা দুই বছর লভ্যাংশ ঘোষণা করতে ব্যর্থ হওয়ায় কোম্পানিটিকে ‘জেড’ ক্যাটাগরিতে স্থানান্তর করা হয়। আজ (০৩ সেপ্টেম্বর) থেকে কোম্পানিটি ‘জেড’ ক্যাটাগরিতে লেনদেন করবে।

এদিকে ক্যাটাগরি পরিবর্তনের কারণে কোম্পানিটিকে ঋণ সুবিধা দিতে ব্রোকার হাউজ এবং মার্চেন্ট ব্যাংককে নিষেধ করেছে ডিএসই।

উল্লেখ্য, বিএসইসির জেড শ্রেণি নিয়ে জারি করা এক নির্দেশনায় বলা হয়- পরপর দুই বছর বিনিয়োগকারীদের কোনো লভ্যাংশ না দিলে, আইন অনুযায়ী নিয়মিত এজিএম না করলে, সুনির্দিষ্ট কোনো কারণ ছাড়া ছয় মাসের বেশি উৎপাদন বা কার্যক্রম বন্ধ থাকলে, পুঞ্জীভূত লোকসান পরিশোধিত মূলধনের বেশি হলে, নির্ধারিত সময়ের মধ্যে ঘোষিত লভ্যাংশের ন্যূনতম ৮০ শতাংশ বিতরণ না করলে কোনো কোম্পানিকে ‘জেড’ শ্রেণিভুক্ত করা যাবে।

Real estate company Eastern Housing Ltd fears an increase in the cost of doing business for a wholly unexpected reason – the breakdown of the design approval mechanism of Dhaka’s urban development authority.

It sought approval of the design of a project on a land of 31.3 decimals at Aftab Nagar in the capital seven months back. When it was awaiting approval, Rajuk suspended the designated software in May this year, claiming it had been hacked.

Another housing project on a land of 59.47 decimals in the capital’s Hatirjeel also hangs in the balance. There is no possibility of getting the design approved within the expected timeframe, according to EHL sources.

Rajuk said it reinstated the digital system on August 21, but users have complained of difficulties navigating it.

“The situation will badly affect our company’s profitability,” said AKM Sahadat H Majumder, head of apartments at the EHL, adding that all land developers and real estate companies of the sector will face similar consequences due to the sloppy online mechanism of Rajuk.

That not only results in missed business opportunities but will also drive up construction costs as labourers are sitting idle.

Mr Majumder said they had already made investments and set construction plans. “The two projects will increase our liabilities and production costs.”

Meanwhile, Rajuk’s committee, responsible for approving designs, has not held any meeting for more than three months.

“Our investments remain stuck as we cannot sell apartments before getting Rajuk’s approval of the designs,” Mr Majumder said.

Realtors submit building plans online and Rajuk grants approval based on compliance with design standards, including structural, plumbing and drawing requirements. Approval is given following a meeting of the designated committee.

“But the committee did not hold any meeting after May,” he said.

The situation deteriorated after May 19, when Rajuk’s server was hacked, leaving realtors unable to submit plans online. The authority reinstated the server last Thursday, but it is yet to be user-friendly.

An EHL official said developers are now facing further complications in filing plans. Currently, only one plan can be submitted per phone number and national ID, with an OTP required to progress through the process. “But the process of submitting the proposal is very slow,” the official said.

As a result, realtors face higher production costs due to the delays in securing approvals. Insiders said Rajuk must improve its online services by appointing qualified technical staff. Otherwise, many realtors will face losses and rising bank liabilities, as construction projects are commonly financed with loans.

EHL, an ‘A’ category company, reported a profit of Tk 291 million in FY20, rising to Tk 688 million in FY23 before slipping to Tk 563 million the following year.

Rajuk had contracted IT firm Dohatec for software maintenance, but the deal expired in June 2024, and no replacement firm has since been appointed. The authority has no in-house IT team, which has led to mismanagement of its online services.

On May 19, amid the breakdown, an unscrupulous group secured approval for a 15-storey building in Mirpur by manipulating the system. Rajuk later said its software had been hacked, although the group obtained approval after paying fees by credit card.

সূত্র অনুসারে, আজকের পর্ষদ বৈঠকে দুই ধরনের ব্র্যান্ড নিউ মূলধনী মেশিন কেনার সিদ্ধান্ত নেওয়া হয়। এগুলো হচ্ছে- কন্টিনিউয়াস ডেনিম ডায়িং সাইজিং মেশিন উইথ স্ট্যান্ডার্ড এক্সেসরিজ ও হাইস্পিড ওয়ারপিং মেশিন উইথ স্ট্যান্ডার্ড এক্সেসরিজ। এসব মেশিন কিনতে ১২ লাখ ডলার ব্যয় হবে, স্থানীয় মুদ্রায় যার পরিমাণ প্রায় ১৪ কোটি ৬২ লাখ টাকা।

According to a disclosure filed with the Dhaka Stock Exchange (DSE) yesterday, the company submitted an application to the regulator on 21 July this year to raise its paid-up capital from Tk29.60 crore to Tk30 crore. 

The proposal sought to issue new shares worth Tk39 lakh to three of its sponsors in order to bridge the shortfall.

The BSEC, however, declined the application, pointing out that the offer was not made to existing shareholders, no extra-ordinary general meeting (EGM) was held to seek general shareholders’ approval, and a price sensitive information (PSI) notice was not disseminated before issuing new shares.

The regulator also observed that the proposed issuance price was set at face value, which was well below the prevailing market price. In addition, the company’s audited financial statements contained “emphasis-of-matter” points, raising concerns about the financial disclosures, according to the disclosure. 

Despite the rejection, Magura Multiplex’s share price jumped 8.88% today (24 August), closing at Tk114.

In 2023, Magura Group merged its listed entities with non-listed companies in what it described as an effort to improve the health of its capital market presence. 

Paper Processing and Packaging Limited, which had been listed on the DSE since 1990, was merged with non-listed Magura Paper Mills. The merged entity was later renamed Magura Multiplex PLC.

Paper Processing and Packaging was re-listed on the market in June 2021, and following the merger, Magura Multiplex has been operating under the new structure.

Financial performance

Magura Multiplex declared a 14% cash dividend for FY24 after its net profit rose by 51% to Tk7.45 crore compared to the previous year. In the first nine months of FY25, its earnings per share (EPS) jumped 42% year-on-year to Tk3.21, from Tk2.26.

As of July’s shareholding report, the company’s sponsors and directors held 45.81%, institutional investors 7.32%, and general shareholders 46.87%.
