পুঁজিবাজারের কাঠামোগত সংস্কার ও টেকসই উন্নয়ন নিশ্চিত করতে বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশন (বিএসইসি)-এর সঙ্গে পুঁজিবাজার সংশ্লিষ্ট অংশীজনদের মাসিক সমন্বয় সভা অনুষ্ঠিত হয়েছে।

শনিবার (১৮ জানুয়ারি) রাজধানীর আগারগাঁওয়ে বিএসইসি’র মাল্টিপারপাস হলে অনুষ্ঠিত এ সভায় প্রধান অতিথি হিসেবে উপস্থিত ছিলেন মাননীয় প্রধান উপদেষ্টার বিশেষ সহকারী ড. আনিসুজ্জামান চৌধুরী। সভায় সভাপতিত্ব করেন বিএসইসির চেয়ারম্যান খন্দকার রাশেদ মাকসুদ। এ ছাড়া কমিশনের অন্যান্য কমিশনার এবং পুঁজিবাজারের বিভিন্ন প্রতিষ্ঠান ও সংগঠনের শীর্ষ প্রতিনিধিরা সভায় অংশ নেন।

সভায় পুঁজিবাজারের বর্তমান অবস্থা, চলমান সংস্কার কার্যক্রম এবং ভবিষ্যৎ পরিকল্পনা নিয়ে উন্মুক্ত আলোচনা হয়। বক্তব্যে ড. আনিসুজ্জামান চৌধুরী বলেন, পুঁজিবাজারে বিদ্যমান প্রতিবন্ধকতাগুলো দ্রুত চিহ্নিত করে সমন্বিতভাবে সমাধানের পথে এগিয়ে যেতে হবে। তিনি অংশীজনদের সহযোগিতায় সর্বসম্মত সিদ্ধান্ত গ্রহণ ও বাস্তবায়নের ওপর গুরুত্বারোপ করেন। একই সঙ্গে দীর্ঘমেয়াদি লক্ষ্য নির্ধারণ করে পুঁজিবাজার উন্নয়নে সক্রিয় ভূমিকা রাখার আহ্বান জানান তিনি।

সভায় ‘বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ (মার্জিন) বিধিমালা, ২০২৫’, ‘বিএসইসি মিউচুয়াল ফান্ড বিধিমালা, ২০২৫’ এবং ‘পাবলিক অফার অব ইক্যুইটি সিকিউরিটিজ রুলস, ২০২৫’সহ সাম্প্রতিক গুরুত্বপূর্ণ বিধিমালা নিয়ে আলোচনা হয়। পাশাপাশি পাঁচ বছর মেয়াদি পুঁজিবাজার উন্নয়ন পরিকল্পনা, নতুন পণ্য সংযোজন, কমোডিটি এক্সচেঞ্জ চালু, ই–কেওয়াইসি’র মাধ্যমে অনলাইনে বিও অ্যাকাউন্ট খোলা, রাষ্ট্রীয় ও বহুজাতিক কোম্পানির তালিকাভুক্তকরণ, মিউচুয়াল ফান্ড খাতের উন্নয়ন এবং বিনিয়োগ শিক্ষা প্রসারের বিষয়গুলো আলোচনায় উঠে আসে।

বিএসইসির চেয়ারম্যান খন্দকার রাশেদ মাকসুদ বলেন, নতুন তিনটি বিধিমালা পুঁজিবাজারের আইনি সংস্কারে গুরুত্বপূর্ণ অগ্রগতি। তিনি উল্লেখ করেন, আইপিও পুঁজিবাজারের কেন্দ্রবিন্দু এবং নতুন বিধিমালার ফলে আইপিও কার্যক্রম আরও গতিশীল হবে। এই সুযোগ কাজে লাগাতে বাজার সংশ্লিষ্টদের সক্রিয় হওয়ার আহ্বান জানান তিনি।

সভায় ঢাকা ও চট্টগ্রাম স্টক এক্সচেঞ্জ, সিডিবিএল, সিসিবিএল, মার্চেন্ট ব্যাংকার্স অ্যাসোসিয়েশনসহ বিভিন্ন প্রতিষ্ঠানের চেয়ারম্যান, ব্যবস্থাপনা পরিচালক, ঊর্ধ্বতন কর্মকর্তা এবং বিএসইসির নির্বাহী পরিচালকরা উপস্থিত ছিলেন।

All three listed companies of the BEXIMCO Group have not held board meetings since March last year, as a writ petition over the appointment of independent directors remains pending.

The Bangladesh Securities and Exchange Commission (BSEC) appointed 25 independent directors to BEXIMCO Ltd, Beximco Pharmaceuticals, and Shinepukur Ceramics between December 2024 and January 2025, following a directive from the finance ministry.

The interim government moved to deploy independent directors for a three-year term after BEXIMCO became embroiled in labour unrest, non-payment of wages and salaries, and loan defaults. While the post-uprising government extended financial support to help clear workers’ dues, it tasked the independent directors with addressing the group’s remaining operational and governance issues within the stipulated timeframe.

Immediately after the appointments, BEXIMCO filed a writ petition challenging the move. Since then, the companies’ boards have not met to approve or discuss financial results, nor have they disclosed quarterly performance, annual reports, or monthly shareholding statements.

BSEC spokesperson Md Abul Kalam said the companies had been using the pending writ petition as an excuse to evade regulatory compliance. On the other hand, BEXIMCO officials told The Financial Express that they were unable to hold board meetings as long as the petition remained unresolved.

In the meantime, the securities regulator issued an order on Thursday directing the companies to hold board meetings within the next 12 days.

Under the BSEC’s corporate governance code, at least one-fifth of a listed company’s board members must be independent directors.

Before the regulator’s intervention, Shinepukur Ceramics had seven directors, including independent directors, in compliance with the governance code. The BSEC later appointed seven additional independent directors to its board.

Similarly, BEXIMCO Ltd previously had nine directors, after which the BSEC appointed another nine independent directors. Beximco Pharmaceuticals now has 18 directors, including nine independent directors appointed by the government.

A senior BEXIMCO Group official, speaking on condition of anonymity, alleged that the regulator had appointed an excessive number of independent directors “in breach of its own rules.” However, he could not explain how the appointments violated the governance code, which sets only a minimum requirement for independent directors. He added that the companies’ articles of memorandum do not permit boards of such size.

In response to the writ petition, the High Court initially issued a stay on the BSEC decision and asked the regulator to explain why the move should not be declared unlawful. The BSEC later appealed the order.

The Appellate Division lifted the stay and sent the matter back to a High Court bench to discharge the rule after hearing. By December last year, the petition was returned to the Appellate Division, which is now expected to refer it to another High Court bench for a full hearing.

Mr Kalam said the companies’ boards remained legally functional and that, as listed entities, they were obligated to hold board meetings, publish financial statements, and convene annual general meetings in the interest of shareholders.

শেয়ারবাজারে তালিকাভুক্ত দেশের অন্যতম বৃহৎ শিল্পগোষ্ঠী অ্যাডভান্সড কেমিক্যাল ইন্ডাস্ট্রিজ (এসিআই) পিএলসি তাদের ব্যবসায়িক পরিসর আরও বিস্তৃত করতে সেমিকন্ডাক্টর ও প্রপার্টি খাতে প্রবেশের সিদ্ধান্ত নিয়েছে।

এই নতুন খাতে কার্যক্রম পরিচালনার লক্ষ্যে বৃহস্পতিবার অনুষ্ঠিত পরিচালনা পর্ষদের সভায় দুটি নতুন সহযোগী প্রতিষ্ঠান গঠনের সিদ্ধান্ত নেয় এসিআই। প্রতিষ্ঠান দুটি হলো— এসিআই সেমিকন্ডাক্টর লিমিটেড এবং এসিআই প্রপার্টিজ লিমিটেড।

এসিআইয়ের এক কর্মকর্তা শেয়ারনিউজ-কে জানান, ভবিষ্যতে এই দুই খাতে উজ্জ্বল সম্ভাবনা দেখেই ব্যবস্থাপনা কর্তৃপক্ষ নতুন দুটি সহযোগী প্রতিষ্ঠান গঠনের সিদ্ধান্ত নিয়েছে। তাঁর ভাষায়, নতুন ব্যবসা খাতগুলো এসিআইয়ের সামগ্রিক ব্যবসায়িক পোর্টফোলিওকে আরও শক্তিশালী করবে।

এসিআই সেমিকন্ডাক্টর লিমিটেড–এর অনুমোদিত মূলধন নির্ধারণ করা হয়েছে ১০০ কোটি টাকা এবং পরিশোধিত মূলধন ১০ কোটি টাকা। এতে এসিআইয়ের শেয়ার থাকবে ৮৫ শতাংশ, যা সংশ্লিষ্ট কর্তৃপক্ষের অনুমোদনসাপেক্ষ।

একইভাবে এসিআই প্রপার্টিজ লিমিটেড–এরও অনুমোদিত মূলধন ১০০ কোটি টাকা এবং পরিশোধিত মূলধন ১০ কোটি টাকা। এখানেও এসিআইয়ের মালিকানা থাকবে ৮৫ শতাংশ।

বহুমুখী ব্যবসায়িক কাঠামো

২০২৪–২৫ অর্থবছরের সর্বশেষ বার্ষিক প্রতিবেদন অনুযায়ী, এসিআই বর্তমানে ১৭টি সহযোগী প্রতিষ্ঠান এবং ৫টি যৌথ উদ্যোগ ও অ্যাসোসিয়েট কোম্পানি পরিচালনা করছে। এসব কার্যক্রম পরিচালিত হচ্ছে পাঁচটি কৌশলগত ব্যবসা ইউনিটের মাধ্যমে— স্বাস্থ্যসেবা, ভোক্তা পণ্য, কৃষি ব্যবসা, মোটরস ও রিটেইল চেইন।

স্বাস্থ্যসেবা বিভাগে রয়েছে ওষুধ ও উদ্ভাবনী পণ্য, ভোক্তা পণ্য বিভাগে রয়েছে টয়লেট্রিজ, হোম কেয়ার, হাইজিন, ইলেকট্রিক্যাল পণ্য, লবণ, আটা, খাদ্যপণ্য, চাল, ভোজ্যতেল, রং ও আন্তর্জাতিক ব্যবসা।

এসিআই এগ্রিবিজনেস দেশের সবচেয়ে বড় সমন্বিত কৃষি, প্রাণিসম্পদ ও মৎস্য প্ল্যাটফর্ম। অন্যদিকে এসিআই মোটরস কৃষিযন্ত্র, মোটরসাইকেল, বাণিজ্যিক যানবাহন ও নির্মাণ যন্ত্রপাতি খাতে শীর্ষস্থানীয় প্রতিষ্ঠান।

রিটেইল চেইন বিভাগ পরিচালনা করছে স্বপ্ন— দেশের সবচেয়ে বড় খুচরা বিক্রয় নেটওয়ার্ক, যার ৬৮৩টির বেশি আউটলেট রয়েছে। এর মধ্যে নতুন খোলা দোকান ২২০টি। প্রতিদিন এই নেটওয়ার্কে সেবা পাচ্ছেন এক লক্ষাধিক ক্রেতা।

আর্থিক পারফরম্যান্স

২০২৫ সালের ৩০ জুন সমাপ্ত অর্থবছরে এসিআইয়ের আর্থিক অবস্থার উল্লেখযোগ্য উন্নতি হয়েছে। এ সময়ে কোম্পানিটির সমন্বিত লোকসান কমে দাঁড়িয়েছে ৪১ কোটি ৯১ লাখ টাকা, যা আগের অর্থবছরে ছিল ১২৮ কোটি ৪৭ লাখ টাকা।

২০২৪–২৫ অর্থবছরে এসিআইয়ের সমন্বিত রাজস্ব দাঁড়িয়েছে ১৩ হাজার ৭৯০ কোটি টাকা, যা আগের বছরের তুলনায় উল্লেখযোগ্যভাবে বেশি। রাজস্ব বেড়েছে ১০ দশমিক ৯৩ শতাংশ এবং মোট মুনাফা বেড়েছে ১৫ দশমিক ৪২ শতাংশ।

তবে সুদের হার বৃদ্ধি এবং কার্যকরী মূলধন ও সম্প্রসারণমূলক বিনিয়োগের কারণে ঋণ ব্যয় বৃদ্ধি পাওয়ায় লাভের একটি অংশ ক্ষয় হয়েছে বলে জানিয়েছে কোম্পানি।

২০২৫ সালের ২৮ ডিসেম্বর অনুষ্ঠিত বার্ষিক সাধারণ সভায় (এজিএম) শেয়ারহোল্ডাররা ২৫ শতাংশ নগদ লভ্যাংশ অনুমোদন করেন।

চলতি অর্থবছরের প্রথম প্রান্তিকে এসিআই ৬ কোটি ৩২ লাখ টাকা সমন্বিত মুনাফা অর্জন করেছে, যেখানে আগের বছরের একই সময়ে বড় অঙ্কের লোকসান ছিল। একই সময়ে কোম্পানিটির রাজস্ব বেড়ে দাঁড়িয়েছে ৩ হাজার ৬৯৬ কোটি টাকা, যা আগের বছরের তুলনায় ২৪ দশমিক ৪০ শতাংশ বেশি।

বাংলাদেশ শিপিং করপোরেশনকে (বিএসসি) লাভজনকতা ও সক্ষমতার ধারাবাহিকতা বজায় রেখে আরও শক্ত ভিতের ওপর দাঁড় করানোর নির্দেশনা দিয়েছেন অন্তর্বর্তীকালীন সরকারের প্রধান উপদেষ্টা প্রফেসর মুহাম্মদ ইউনূস। তিনি বলেন, রাষ্ট্রীয় এই প্রতিষ্ঠানকে এমনভাবে পরিচালনা করতে হবে যাতে ভবিষ্যতে নিজস্ব আয়ের ওপর ভর করেই এর সম্প্রসারণ সম্ভব হয়।

বুধবার রাষ্ট্রীয় অতিথি ভবন যমুনায় অনুষ্ঠিত এক অনুষ্ঠানে বিএসসি কর্তৃক বাস্তবায়িত জাহাজ ক্রয় প্রকল্পের ঋণের কিস্তি ও ২০২৪–২৫ অর্থবছরের লভ্যাংশ বাবদ মোট ২০৩ কোটি ৪৭ লাখ টাকার চেক গ্রহণকালে এসব কথা বলেন প্রধান উপদেষ্টা। এ সময় নৌপরিবহন উপদেষ্টা এম সাখাওয়াত হোসেন এবং বিএসসির ব্যবস্থাপনা পরিচালক কমডোর মাহমুদুল মালেক তার হাতে চেক তুলে দেন।

প্রধান উপদেষ্টা বলেন, দীর্ঘমেয়াদি পরিকল্পনার মাধ্যমে বিএসসির আয়ের সক্ষমতা বাড়াতে হবে, যাতে নতুন নতুন জাহাজ যুক্ত করে বহরকে আরও আধুনিক ও প্রতিযোগিতামূলক করা যায়। বহরে জাহাজের সংখ্যা বাড়লে নাবিকদের কাজের সুযোগ যেমন বাড়বে, তেমনি নতুন কর্মসংস্থানও সৃষ্টি হবে বলে তিনি মন্তব্য করেন।

তিনি আরও বলেন, বিশ্বমানের নাবিক গড়ে তুলতে হলে মেরিন একাডেমির প্রশিক্ষকদের ধরে রাখা জরুরি। সে জন্য তাদের উপযুক্ত সম্মানী নিশ্চিত করার ওপর গুরুত্ব দেন তিনি।

অনুষ্ঠানে জানানো হয়, চীন সরকারের অর্থায়নে কেনা ছয়টি জাহাজের ঋণ কিস্তি পরিশোধের অংশ হিসেবে সাবসিডিয়ারি লোন অ্যাগ্রিমেন্ট অনুযায়ী এবং চলতি অর্থবছরের ঘোষিত লভ্যাংশ মিলিয়ে এই ২০৩.৪৭ কোটি টাকা সরকারকে প্রদান করেছে বিএসসি। সরকারের সঙ্গে করা চুক্তি অনুযায়ী আগামী ১৩ বছরে প্রতিষ্ঠানটি মোট ২ হাজার ৪২৫ কোটি ২ লাখ টাকা পরিশোধ করবে।

বিএসসি কর্তৃপক্ষ জানায়, ৫৪ বছরের ইতিহাসে সর্বশেষ অর্থবছরটি ছিল প্রতিষ্ঠানটির জন্য সবচেয়ে সফল। এ সময়ে প্রায় ৮০০ কোটি টাকা আয় করে ৩০৬ কোটি ৫৬ লাখ টাকা নিট মুনাফা অর্জন করেছে বিএসসি, যা এখন পর্যন্ত সর্বোচ্চ। ২০১৮–১৯ অর্থবছরে বহরে যুক্ত হওয়া পাঁচটি বাণিজ্যিক জাহাজ এই মুনাফা অর্জনে বড় ভূমিকা রেখেছে।

প্রধান উপদেষ্টার নির্দেশনার আলোকে বিএসসি ইতোমধ্যে বহর সম্প্রসারণে কাজ শুরু করেছে। নিজস্ব অর্থায়নে কেনা দুটি বাল্ক ক্যারিয়ারের মধ্যে প্রথমটি ‘বাংলার প্রগতি’ গত ২৮ অক্টোবর বহরে যুক্ত হয়েছে। দ্বিতীয় জাহাজ ‘বাংলার নবযাত্রা’ আগামী ৩০ জানুয়ারি ডেলিভারি পাওয়ার কথা রয়েছে। পাশাপাশি চীনের সঙ্গে সরকার-টু-সরকার (জি-টু-জি) ভিত্তিতে আরও চারটি বড় আকারের মাদার ভেসেল সংগ্রহের পরিকল্পনাও চূড়ান্ত পর্যায়ে রয়েছে।

The securities regulator has instructed Silva Pharmaceuticals to conduct a revaluation of its machinery and equipment purchased with IPO funds and to disclose the operational status of the factory building constructed using the same proceeds.

The move aims to determine the company’s accurate financial position.

The drug maker was listed in FY18 through an initial public offering, raising Tk 300 million.

According to the prospectus, the company planned to spend Tk 122.5 million on purchasing brand-new machinery and equipment to be installed in a two-storey factory building. The building was to be constructed at a cost of Tk 56 million using IPO proceeds, while another Tk 99 million was earmarked for loan repayment.

However, the company’s latest IPO fund utilisation report shows that the allocation for new machinery and equipment has yet to be fully utilised.

Moreover, the company’s revenue has been declining since FY22, and it has been posting losses since FY24.

The post-IPO performance prompted the Bangladesh Securities and Exchange Commission (BSEC) to intervene. In the second week of last month, the regulator issued an order seeking reassessment of the company’s assets through an independent revaluation process.

BSEC spokesperson Abul Kalam and the company secretary of the drug maker, Md Iqbal Hossain, confirmed the regulatory move.

The BSEC had issued a similar order in April last year. The company subsequently submitted a valuation report, but in the latest order, the market watchdog said the report had not been prepared in line with the prescribed guidelines.

“We submitted a report earlier, but BSEC asked us to prepare another report following specific guidelines. We are preparing another report with the help of an auditor and will submit it soon,” said company secretary Iqbal Hossain.

According to BSEC sources, the regulator identified irregularities in the utilisation of IPO proceeds during an inspection, prompting further measures to protect investor interests by ensuring proper financial disclosure.

Meanwhile, the company’s stock traded at Tk 9.40 per share on the Dhaka Stock Exchange (DSE) on Tuesday.

Silva Pharmaceuticals has failed to fully utilise its IPO proceeds even six years after raising the funds. During this period, the company sought time extensions five times but failed to use the money.

Most recently, allegations have emerged that the company violated securities laws in the utilisation of IPO proceeds. In February last year, Pinaki & Company, Chartered Accountants, audited the IPO fund utilisation report and reported instances of non-compliance.

The commission warned that failure to comply with the directives, or confirmation of legal violations, would result in legal action against the company under securities laws.

Capital market analysts said transparency in IPO fund utilisation is critical to maintaining investor confidence, adding that such regulatory actions signal stricter oversight and accountability by the commission.

As of December last year, sponsors and directors jointly held a 45.21 per cent stake in the company, while institutional investors owned 16.07 per cent, foreign investors 0.01 per cent, and general investors 38.71 per cent.

Speaking on condition of anonymity, a senior BSEC official said the valuation report submitted earlier did not comply with the August 18, 2013 notification, which requires a fresh submission prepared by an independent valuer.

In March last year, the BSEC decided to examine Silva Pharmaceuticals’ asset base, business operations, and financial capacity over the past five years. A three-member investigation committee was formed with 15 specific terms of reference.
