Free float of Walton Hi-Tech Industries was 1.49 per cent even six months back. Then by January this year, the number of publicly tradable shares jumped to more than 30 per cent.

The free float increased so quickly, as six sponsor-directors gifted shares to their family members to comply with the regulatory requirement of at least 10 per cent shares available for trading in the equity market.

In the latest development, SM Rezaul Alam, a sponsor director of Walton, transferred 12.12 million shares to his daughter and spouse on Tuesday, the value of which is Tk 5.45 billion at the current market price.

Nearly 90 million shares in total were transferred to non-director family members in the six months.

Though the shares that had been locked-in become tradable, family members have retained those between them.

“We met the regulatory requirement much before the time (in May this year) within the legal framework,” said company secretary Md Rafiqul Islam.

Free-float refers to the shares of a company that are available to the public for trading in the secondary market. Free float exclude shares held by sponsor-directors and government and other locked-in shares.

Mr Islam said the sponsor directors had made the move to avoid negative impacts in the secondary market. “Now, the family members will gradually release their holdings in the market.”

In 2020, the country’s electronics and technology giant listed by floating less than 1 per cent shares in the secondary market, drawing criticism from market analysts.

There are concerns that fewer free float engenders abnormal price rise of stocks when the demand is high.

In the four months after listing, the stock became the second largest firm in terms of market value. Currently, Walton is the fifth largest firm, with a market capitalisation of Tk 148.58 billion.

Amid concerns over inflated stock prices, the Bangladesh Securities and Exchange Commission (BSEC) amended its Public Issue Rules in August 2021, making it mandatory for companies to offload shares worth at least 10 percent of their paid up capital.

In September 2021, the BSEC asked Walton to meet the requirement within a year by offloading stakes of sponsor-directors.

Walton at the time struggled to do so as floor price drove away buyers from the market.

In May 2022, the market regulator extended the time by three years for compliance with the regulatory obligation.

Sponsor-directors explored ways to increase free float but the sale of such a huge number of shares could have an adverse outcome. A sudden supply of shares might have pushed down the share price.

However, market analysts are critical about the way the free float has been increased.

A leading stockbroker, requesting not to be named, said, “Walton technically increased the free float to comply with the regulatory requirement but there is a possibility of share price manipulation in the future as a majority of the shares remained within the family.”

Sponsor-directors of Walton wanted to secure ownership and to make sure the share price does not fall in the equity market, he added.

Moreover, the company will enjoy an annual tax deduction by two and a half per cent for having more than 10 per cent shares in the secondary market. Sponsors themselves also availed of tax benefits by transferring shares, instead of selling in the market.

FINANCIAL PERFORMANCE

Meanwhile, Walton’s profit dropped more than 10 per cent year-on-year to Tk 3.04 billion in the first half of FY25, due to higher production costs and increased finance expenses.

It had a 73 per cent growth in profit in FY24, compared to the year before. Based on the profit growth, the company paid a 350 per cent cash dividend for FY24, the highest since listing in 2020.

STOCK PERFORMANCE

The stock of Walton had been stuck at the floor price of Tk 1047.7 each share for more than 18 months until January last year. After the removal of the floor, the stock plunged to Tk 428 per share within the six months to June last year.

Sonali Paper and Board Mills, a concern of Younus Group, reported a significant profit growth in the second quarter (October-December) of the current fiscal year, driven by increased revenue and lower financial losses.

During the quarter, the company’s revenue grew 15% year-on-year to Tk96.13 crore, up from Tk83.60 crore in the same period last year. Its profit after tax stood at Tk12.25 crore, marking a sharp turnaround from a Tk0.57 crore loss a year ago.

According to its financial statement published today (10 February), the company generated profit from its core business operations, while losses from other income sources – mainly capital market investments – were significantly reduced. Additionally, finance costs declined during the period, further boosting profitability.

Its other income loss stood at Tk38 lakh, a sharp improvement from the Tk5.42 crore loss in the same period of the previous year.

Stock performance

In the last six trading days, Sonali Paper’s share price rose 20% on the Dhaka Stock Exchange (DSE), climbing from Tk125.20 to Tk150.80.

The company’s earnings per share (EPS) stood at Tk3.72, compared to a loss per share of Tk0.17 a year ago. Its net asset value per share was Tk166.21 as of December 2024.

For the July to December period, Sonali Paper reported total revenue of Tk153.36 crore, slightly up from Tk151.60 crore a year ago. 

Its profit after tax for the six-month period stood at Tk18.06 crore, a strong recovery from the Tk17.79 crore loss in the same period of the previous fiscal year. EPS for this period was Tk5.48, up from Tk5.40 a year ago.

For FY24, the company has recommended a 20% cash dividend for its shareholders.

Meanwhile, though Sonali Paper posted a strong profit growth in the second quarter, industry giant Bashundhara Paper Mills faced a significant loss, reporting a Tk70.13 crore loss in the same quarter.

Recent growth

Sonali Paper specialises in producing white, printing, simplex, and duplex papers for the local market. Founded in 1977, the company was listed on the Dhaka Stock Exchange in 1985. 

However, due to non-compliance with listing regulations, it was relegated to the over-the-counter (OTC) market for ten years before returning to the main board in 2020 after a successful business revival.

Following its relisting, Sonali Paper experienced substantial growth, with revenue reaching Tk217.80 crore in FY22, up from Tk150 crore in FY21. This upward trend continued in FY23, with revenue climbing to Tk264 crore.

As of 31 December 2024, the company’s shareholding structure comprised 67.51% held by sponsors and directors, 6.29% owned by institutions, and 26.20% held by the public.

হিসাবের মারপ্যাঁচে বড় অঙ্কের ঋণ জালিয়াতি করেছেন সাউথইস্ট ব্যাংকের বর্তমান পরিচালক আলমগীর কবির। ২০০৪ থেকে ২০২৪ সালের ৫ আগস্ট পর্যন্ত টানা প্রায় ২০ বছর একই ব্যাংকের চেয়ারম্যান ছিলেন তিনি। বিশেষ করে স্বৈরাচার শেখ হাসিনার আওয়ামী লীগ সরকারের পুরো সময়ে চেয়ারম্যান থাকায় ব্যাংকটিতে এক ধরনের আধিপত্য কায়েম করেন এক সময়ের এই হিসাববিদ। একজন পরিচালক হিসাবে মাত্র সাড়ে ১৩ কোটি টাকার ঋণ নেওয়ার সুযোগ ছিল, বাস্তবে নিয়েছেন প্রায় ৪০০ কোটি টাকা-এমন অভিযোগ তোলেন ব্যাংকটির পাঁচজন প্রতিষ্ঠাতা পরিচালক। যদিও সে ঋণ পরে সমন্বয় করা হয়।

তবে বাংলাদেশ ব্যাংকের পরিদর্শন প্রতিবেদনে উঠে আসে ঋণ জালিয়াতির আরও ভয়াবহ তথ্য। এতে বলা হয়, নন-ব্যাংক আর্থিক প্রতিষ্ঠান-বে লিজিং অ্যান্ড ইনভেস্টমেন্ট লিমিটেডকে (বিএলআইএল) প্রতি কার্যদিবসে ‘মানি অ্যাট কলে’র মাধ্যমে জামানতবিহীন বিশেষ ঋণ সুবিধা দিয়েছে সাউথইস্ট ব্যাংক পিএলসি। ২০২৩ সালের ৩১ ডিসেম্বর পর্যন্ত এ ধরনের ঋণ পাওনা ছিল ৬১ কোটি টাকা। আর স্থায়ী আমানত (এফডিআর) পাওনা ১৭১ কোটি টাকা। বিএলআইএল হলো ব্যাংকের তৎকালীন চেয়ারম্যান ও বর্তমান পরিচালক আলমগীর কবিরের স্বার্থসংশ্লিষ্ট প্রতিষ্ঠান।

এভাবে প্রতিদিন পরিচালকের প্রতিষ্ঠানকে ঋণ দিয়ে আবার সে ঋণ পরিশোধ দেখাত সাউথইস্ট ব্যাংক। বাংলাদেশ ব্যাংকের প্রতিবেদনে উদাহরণ দিয়ে বলা হয়, ২০২৩ সালের ১ জানুয়ারি ৭২ কোটি টাকা সমন্বয় করে একইদিন আবার ৭৩ কোটি টাকার মানি অ্যাট কলের মাধ্যমে ঋণ দেওয়া হয়। তার পরের কার্যদিবস অর্থাৎ ২০২৩ সালের ২ জানুয়ারি ৭৩ কোটি টাকা সমন্বয় করে একইদিন আবার ৭২ কোটি টাকা ঋণ দেওয়া হয়। ওই লেনদেনের ভাউচার বিশ্লেষণে দেখা যায়, সমন্বয় করার উদ্দেশ্যে বে লিজিং অ্যান্ড ইনভেস্টমেন্টের রিয়েল টাইম গ্রস সেটেলমেন্ট (আরটিজিএস) অ্যাকাউন্ট পেয়েবল হিসাবে (বিকলন) ব্যয় দেখানো হয়। আবার ঋণ দেওয়ার পর সেই একই হিসাব ব্যাংকের পক্ষ থেকে (আকলন) আয় দেখানো হয়। প্রতিদিন ভিন্ন ভিন্ন পরিমাণের ঋণ নেওয়া হয়। যে দিন বাড়তি অর্থ নেওয়া হয় সে অর্থ দিয়ে ঋণের সুদ সমন্বয় করা হতো। প্রতিবেদনে আরও বলা হয়, ২০২২ সালে শতাধিক এবং ২০২৩ সালের নব্বইয়ের অধিক ব্যাংকিং কর্মদিবসে বিভিন্ন ব্যাংক থেকে কলমানিতে ঋণ করেছে সাউথইস্ট ব্যাংক। সেই ঋণের টাকাই পরিচালক প্রতিষ্ঠান বিএলআইএলকে মানি অ্যাট কলে ঋণ দিয়েছে। শুধু তাই নয়, সাউথইস্ট ব্যাংক কলমানিতে ঋণ করেছে যে সুদে তার থেকেও কম সুদে বিএলআইএলকে ঋণ দিয়েছে। উদাহরণ হিসাবে বলা যায়, ২০২৩ সালের ২৭ ডিসেম্বর মার্কেন্টাইল ব্যাংক থেকে ৯.৫০% সুদে কলমানিতে ঋণ করে ৮২ কোটি টাকা এবং একইদিন ৯.২৫% সুদে মানি অ্যাট কলে বিএলআইএলকে ৬২ কোটি টাকা ঋণ দেয় সাউথইস্ট ব্যাংক। ২০২২ ও ২০২৩ সালে সাউথইস্ট ব্যাংক নিজেই তারল্য ঘাটতিতে থাকার পরও পরিচালক প্রতিষ্ঠানকে অনৈতিকভাবে আর্থিক সুবিধা দিয়েছে বলে বাংলাদেশ ব্যাংকের প্রতিবেদনে উল্লেখ করা হয়। এতে আরও বলা হয়, এ ধরনের লেনদেনের কোনো অর্থ প্রকৃতপক্ষে ব্যাংক বা আর্থিক প্রতিষ্ঠানটিতে জমা হয়নি। এর আগে মানি অ্যাট কলের মাধ্যমে দেওয়া বিশেষ ঋণ বে লিজিং অ্যান্ড ইনভেস্টমেন্ট পরিশোধ করতে না পারায় নিয়ন্ত্রক সংস্থার জবাবদিহিতা এড়াতে লেজারে প্রতিদিন কাগুজে লেনদেন দেখানো হতো। এছাড়া ১ বছরের অধিক সময় পর্যন্ত প্রতিদিন পরিচালক প্রতিষ্ঠানকে বিশেষ ঋণ সুবিধা দেওয়া, যা মানি অ্যাট কলের আড়ালে জামানতবিহীন মেয়াদি ঋণ সুবিধা হিসাবে বিবেচিত; এতে ব্যাংক কোম্পানি আইন লঙ্ঘিত হয়েছে। এছাড়া ব্যাংকের ২০২৩ সালের আর্থিক বিবরণী পর্যালোচনায় দেখা যায়, উল্লিখিত ঋণ সুবিধা ছাড়াও সাউথইস্ট ব্যাংকে বে লিজিং অ্যান্ড ইনভেস্টমেন্টের ১৪৬ কোটি ৫০ লাখ টাকার ১ বছর মেয়াদি ৩টি স্থায়ী আমানত (এফডিআর) রয়েছে। যা এখন সুদাসলে ১৭১ কোটি টাকায় দাঁড়িয়েছে। এ ধরনের লেনদেনও ব্যাংক কোম্পানি আইনের সঙ্গে সাংঘর্ষিক। ২০২৩ সালের আর্থিক বিবরণী পর্যালোচনায় দেখা যায়, বে লিজিং অ্যান্ড ইনভেস্টমেন্টের পুঞ্জীভূত ক্ষতি ১৭২ কোটি টাকা। একই বছর প্রতিষ্ঠানটির সুদ বাবদ আয় ৬০ কোটি ৬০ লাখ টাকা এবং বিনিয়োগ, কমিশন ও অন্যান্য পরিচালন আয় ৮ কোটি ৭৫ লাখ টাকা অর্থাৎ মোট পরিচালন আয় মাত্র ৬৯ কোটি ৩৫ লাখ টাকা। ২০২৩ সালে আর্থিক প্রতিষ্ঠানটির পরিচালন ক্ষতি প্রায় ১৫ কোটি টাকা এবং কর-পরবর্তী নিট ক্ষতি ৮২ কোটি ৮১ লাখ টাকা। এছাড়া নগদ প্রবাহ বিবরণী বিশ্লেষণে দেখা যায়, ২০২৩ সালে সুদ বাবদ নগদ আয় ৮৭ কোটি ৭৬ লাখ টাকা এবং নিট নগদ থেকে পরিচালন খরচের পরিমাণ ঋণাত্মক ৩৭ কোটি টাকা। একই সময়ে সাউথইস্ট ব্যাংকের পাওনা ২০৭ কোটি টাকা ছাড়ায়। যদিও সুদাসলে সে অঙ্ক এখন অনেক বেশি। বে লিজিং অ্যান্ড ইনভেস্টমেন্টের মোট আমানত ৫০৮ কোটি ৮২ লাখ টাকার ২৮.৭৯ শতাংশই নিয়েছে সাউথইস্ট ব্যাংক থেকে। উল্লিখিত বিশ্লেষণে স্পষ্ট, সাউথইস্ট ব্যাংকের পাওনা মেটানোর আর্থিক সক্ষমতা বর্তমানে বে লিজিং অ্যান্ড ইনভেস্টমেন্টের নেই। উল্লেখ্য, বে লিজিং অ্যান্ড ইনভেস্টমেন্টকে ব্যাংকের পরিচালক প্রতিষ্ঠান হিসাবে ব্যাংক কোম্পানি আইন লঙ্ঘন করে এসব আর্থিক সুবিধা প্রদান করা হয়। বর্তমানে বে লিজিং অ্যান্ড ইনভেস্টমেন্টসের মনোনীত পরিচালক ব্যাংকের পর্ষদে নেই। সাউথইস্ট ব্যাংকের বর্তমান পরিচালক আলমগীর কবিরের ঘোষণাপত্র থেকে দেখা যায়, বে লিজিং অ্যান্ড ইনভেস্টমেন্টের চেয়ারম্যান সুরাইয়া বেগম আলমগীর কবিরের সহধর্মিণী। ফলে ব্যাংকের সঙ্গে বে লিজিং অ্যান্ড ইনভেস্টমেন্টের এ ধরনের লেনদেন ব্যাংকসংশ্লিষ্ট ব্যক্তির সঙ্গে লেনদেন হিসাবে পরিগণিত হবে। এদিকে বে লিজিং অ্যান্ড ইনভেস্টমেন্টের পরিচালকের মালিকানাধীন প্রতিষ্ঠানকে দেওয়া ঋণ, খেলাপি হলেও খেলাপি দেখানো হয়নি। একই সঙ্গে তার ঋণের সুদও মওকুফ করা হয়। ইয়েবাস প্রোপার্টিজের স্বত্বাধিকারী জুবায়ের কবির বে লিজিং অ্যান্ড ইনভেস্টমেন্টের একজন পরিচালক ও উপসভাপতি এবং সাউথইস্ট ব্যাংকের বর্তমান পরিচালক (সাবেক চেয়ারম্যান) আলমগীর কবিরের আপন ভাইয়ের ছেলে। জুবায়ের কবিরকে আর্থিক প্রতিষ্ঠানটির ২০২২ সালে অনুষ্ঠিত ২৭তম পর্ষদ সভায় পরিচালক হিসাবে পুনঃনিয়োগ করা হয়। অর্থাৎ জুবায়ের কবির ২০১৯ সাল থেকে আর্থিক প্রতিষ্ঠানটির পরিচালক হিসাবে দায়িত্ব পালন করে আসছেন। এই প্রতিষ্ঠানে তার সুদাসলে ঋণ ছিল ১৫ কোটি ২৬ লাখ টাকা। তার কাছ থেকে নামমাত্র ৩০ লাখ টাকার ডাউনপেমেন্ট নিয়ে ১১ কোটি ৫৬ লাখ টাকার সুদ মওকুফ করা হয়, একই সঙ্গে মাত্র ৩ কোটি ৭০ লাখ টাকা নিয়ে সে পরিচালককে দায়মুক্ত করা হয়। আর্থিক প্রতিষ্ঠানের ঋণ পুনঃতফশিল, সুদ মওকুফ, ঋণ থেকে দায়মুক্তি সবকিছুর অনুমোদন দেওয়া হয় সাউথইস্ট ব্যাংকের পর্ষদ সভায়। তখন জুবায়ের কবির বে লিজিং অ্যান্ড ইনভেস্টমেন্টের পক্ষে সাউথইস্ট ব্যাংকের একজন পরিচালক ছিলেন। পুরো প্রক্রিয়ায় ব্যাংক কোম্পানি আইন লঙ্ঘিত হয়েছে। শুধু তাই নয়, আলমগীর কবির চেয়ারম্যান থাকা অবস্থায় সাউথইস্ট ব্যাংকের কেনাকাটা ও সিএসআর ফান্ডের ব্যয়ে ব্যাপক অনিয়ম ধরা পড়ে। ৫ আগস্ট গণ-অভ্যুত্থান-পরবর্তী এসব ঘটনায় জড়িত কয়েকজন কর্মকর্তা স্বেচ্ছায় চাকরি ছেড়ে চলে গেলেও এখনো পরিচালক পদে বহাল তবিয়তে রয়েছে আলমগীর কবির। ঋণ অনিয়মের বিষয়ে জানতে সাউথইস্ট ব্যাংকের পরিচালক আলমগীর কবিরের সঙ্গে তিন দিন যোগাযোগ করেও তার বক্তব্য নেওয়া সম্ভব হয়নি। এমনকি তার অফিসে গিয়েও তাকে পাওয়া যায়নি। ফোন করার কারণ উল্লেখ করে হোয়াটসঅ্যাপে খুদে বার্তা দিলেও কোনো জবাব আসেনি। তবে ব্যাংকের পক্ষ থেকে জানানো হয়, তিনি বর্তমানে সিঙ্গাপুর আছেন। বে লিজিং অ্যান্ড ইনভেস্টমেন্টের ব্যবস্থাপনা পরিচালক (এমডি) মোহাম্মদ রুকনুজ্জামান যুগান্তরকে বলেন, হ্যাঁ সাউথইস্ট ব্যাংক কিছু এফডিআর পাবে। এ বিষয়ে আরও কথা আছে। তবে অনিয়মের বিষয়ে জানতে চাইলে তিনি কোনো মন্তব্য করতে রাজি হননি।

পুঁজিবাজারে তালিকাভুক্ত কোম্পানি এডিএন টেলিকম লিমিটেডের পরিচালনা পর্ষদ সিনিয়র সিটিজেন হেলথকেয়ার লিমিটেডের শেয়ার ক্রয়ের সিদ্ধান্ত নিয়েছে।

এডিএন টেলিকমের পরিচালনা পর্ষদ ৬ ফেব্রুয়ারির সিদ্ধান্ত অনুসারে এই শেয়ার কেনার অনুমোদন দিয়েছে। এর মধ্য দিয়ে কোম্পানিটি ডিজিটাল স্বাস্থ্যসেবা বাজারে প্রবেশ করলো। ঢাকা স্টক এক্সচেঞ্জ (ডিএসই) সূত্রে এই তথ্য জানা গেছে।

সূত্র মতে, এডিএন টেলিকম প্রতিষ্ঠানটির ৩৭ শতাংশ শেয়ার কিনবে। এই পরিমাণ শেয়ার কেনার জন্য তারা ৯ কোটি ৯৮ লাখ টাকা বিনিয়োগ করবে এডিএন টেলিকম।
