British American Tobacco Bangladesh Company Limited (BATBC) has decided to invest Tk297 crore in its Savar factory.

In a disclosure on the Dhaka Stock Exchange’s  website it was said the Board of Directors of the company in its meeting dated 25 June 2025 approved the investment of Tk297 Crore (equivalent to approximately GBP 20 million) to increase the current capacity of its Savar factory in response to its Dhaka factory closure.

The investment will be funded from internal sources and bank financing based on the cash flow of the company, adds the disclosure.

কোম্পানি সূত্রে এই তথ্য জানা গেছে।

সূত্র অনুসারে, বছরে ৩ লাখ জোড়া জুতা রফতানির লক্ষ্যে লিগ্যাসি ফুটওয়্যারের হয়ে রপ্তানি আদেশ সংগ্রহ করবে ওয়েনঝু হনসেংডা ইন্ডাস্ট্রি। গড়ে প্রতি মাসে এর পরিমাণ দাঁড়াবে ২৫ হাজার জোড়া। কোম্পানিটি লিগ্যাসি ফুটওয়্যারকে উচ্চ মানের জুতা উৎপাদনের লক্ষ্যে  মানসম্পন্ন কাঁচামাল সংগ্রহ, কারিগরি সহায়তা এবং দক্ষ টেকনিশিয়ান দিয়ে সহায়তা করবে।

কোম্পানিটির ভাষ্য অনুসারে, আলোচিত চুক্তির ফলে বছরে ৩৬ কোটি টাকার বাড়তি পণ্য বিক্রি হতে পারে। আর তাতে কোম্পানিটির মুনাফা ১২ থেকে ১৪ শতাংশ পর্যন্ত বাড়তে পারে।  কোম্পানিটির পরিচালনা পর্ষদ আশা করছে, প্রতিষ্ঠান দুটির মধ্যে চুক্তির ফলে লিগ্যাসি ফুটওয়্যারের রাজস্ব, মুনাফা ও রফতানি বাজারে উপস্থিতিতে ইতিবাচক প্রভাব পড়বে।

লিগ্যাসি ফুটওয়্যার পিএলসি ২০০০ সালে স্টক এক্সচেঞ্জে তালিকাভুক্ত হয়। কোম্পানিটির পরিশোধিত মূলধন ৪৩ কোটি টাকা। সর্বশেষ হিসাববছরে এর শেয়ার প্রতি নিট আয় (ইপিএস) ছিল ৭ পয়সা, যা তার আগের বছর ২৩ পয়সা ছিল।

পুঁজিবাজারে তালিকাভুক্ত প্রকৌশল খাতের কোম্পানি রতনপুর স্টিল অ্যান্ড রি-রোলিং মিলস (আরএসআরএম)। বিগত সরকারের আমলে পুঁজিবাজার থেকে টাকা তুলে নেয়া কোম্পানিটির ব্যবসায়িক কার্যক্রম দীর্ঘদিন ধরে বন্ধ। বিদ্যুৎ, তারল্য ও কাঁচামাল সংকটের কারণে ব্যবসায়িক কার্যক্রম শুরু করতে পারছে না কোম্পানিটি। অন্যদিকে চট্টগ্রামভিত্তিক রতনপুর গ্রুপের এ কোম্পানির বিরুদ্ধে অর্থ পাচারের অভিযোগ রয়েছে। সেইসঙ্গে এরই মধ্যে ঋণখেলাপি হয়েছে পড়েছে রতনপুর স্টিল। তাই বিতর্কিত এ কোম্পানির সার্বিক কার্যক্রম খতিয়ে দেখার সিদ্ধান্ত নিয়েছে পুঁজিবাজার নিয়ন্ত্রক সংস্থা বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশন (বিএসইসি)। এরই মধ্যে তিন সদস্যের তদন্ত কমিটি গঠন করে কমিটিকে ৬০ কার্যদিবসের মধ্যে প্রতিবেদন দেয়ার নির্দেশ দেয়া হয়েছে।

তথ্যমতে, বিএসইসির মার্কেট ইন্টেলিজেন্স অ্যান্ড ইনভেস্টিগেশন বিভাগ থেকে আরএসআরএমের বিষয়ে তদন্তের জন্য ১০টি নির্দেশনা দিয়ে একটি আদেশ দেয়া হয়েছে। তদন্তের বিষয়ে আরএসআরএমের ব্যবস্থাপনা পরিচালককেও চিঠি দিয়ে জানিয়েছে বিএসইসি।

বিএসইসি সূত্রে জানা গেছে, বিএসইসির তদন্ত কমিটি আরএসএম স্টিলের কারখানা, অফিস, আর্থিক হিসাব ও ব্যবসায়িক অন্য কার্যক্রমের বিষয়ে খতিয়ে দেখবে। আয় ও ব্যয় নিয়ম মেনে হয়েছে কিনা- তাও খতিয়ে দেখবে বিএসইসির কমিটি। সেইসঙ্গে আর্থিক প্রতিবেদন জমা না দেয়া, সামগ্রিক ব্যবসায়িক অবস্থা, ব্যবসা চালিয়ে যাওয়া নিয়ে শঙ্কা, আইপিও প্রসপেক্টাস অনুসারে আইপিও’র অর্থ ব্যবহার, অর্থ পাচারের মামলা ও ব্যবস্থাপনা পরিচালকসহ অন্যদের বিরুদ্ধে ওঠা সিকিউরিটিজ আইন লঙ্ঘনের বিষয়ও যাচাই-বাছাই করবে তদন্ত কমিটি।

দায়িত্বশীল সূত্রগুলো বলছে, ২০২২ সালের ৪ জুলাই বিএসইসিতে আরএসআরএমের বিষয়ে পৃথক একটি তদন্ত প্রতিবেদন জমা দেয়া হয়। যেখানে কোম্পানিটির বিরুদ্ধে বেশকিছু আইন লঙ্ঘনের অভিযোগ আনা হয়েছে। সেই বিষয়েও খোঁজ নেবে তদন্ত কমিটি। ২০২১ সালের ৩০ জুনের পর আর্থিক প্রতিবেদন জমা না দেয়া, ব্যবসা চালিয়ে যাওয়া নিয়ে শঙ্কা এবং ঋণ ও মূলধন ব্যবহারে অনিয়মও খতিয়ে দেখবে কমিটি। প্রতিবেদন পাওয়ার পর কোম্পানিটির বিরুদ্ধে পরবর্তী পদক্ষেপ নেবে বিএসইসি। বিগত সরকারের আমলে বিতর্কিত পন্থায় পুঁজিবাজার থেকে অর্থ উত্তোলন করা কোম্পানিটির বিরুদ্ধে কোনো ব্যবস্থা নেয়নি বিএসইসি। তবে পট পরিবর্তনের পর পুনর্গঠিত বিএসইসি বিতর্কিত কোম্পানিগুলোর বিরুদ্ধে কঠোর ব্যবস্থা নিয়েছে। এরই ধারাবাহিকতায় আরএসআরএমের বিরুদ্ধে তদন্ত কমিটি গঠন করা হলো।

প্রাপ্ত তথ্যমতে, ২০১৪ সালে পুঁজিবাজার থেকে প্রিমিয়ামসহ মাধ্যমে বড় অঙ্কের অর্থ সংগ্রহ করে আরএসআরএম। এর ছয় বছর পরই ২০২০ সালের শেষদিকে কোম্পানিটির উৎপাদন বন্ধ হয়ে যায়। লোকসান, বৈদ্যুতিক জটিলতা ও কাঁচামাল সংকটকে উৎপাদন বন্ধের জন্য দায়ী করে কোম্পানিটির দায়িত্বশীলরা। বারবার ফেরার কথা বলা হলেও আর উৎপাদনে ফিরতে পারেনি আরআরএসএম স্টিল। এরই মধ্যে বিভিন্ন ব্যাংকে কোম্পানিটর ঋণ প্রায় ১৯ কোটি টাকা ছাড়িয়েছে। এর মধ্যে ঋণখেলাপির তালিকায়ও নাম উঠেছে কোম্পানিটির।

এদিকে ২০২৪ সালের ৩০ জুন সমাপ্ত আর্থিক বছর শেষে বিনিয়োগকারীদের কোনো লভ্যাংশ দেয়নি আরএসআরএম। এর আগে ২০২০ সালে বিনিয়োগকারীদের সর্বশেষ ১০ শতাংশ নগদ লভ্যাংশ দিয়েছে কোম্পানিটি। ২০২১ সালের পর আর কোনো আর্থিক প্রতিবেদন প্রকাশ করেনি কোম্পানিটি। পাঁচ বছর ধরে কোম্পানিটি পরিচালনা পর্ষদ বিনিয়োগকারীদের কোনো লভ্যাংশও দেয়নি। স্টক এক্সচেঞ্জকেও ২০২১ সালের পর কোনো তথ্য দেয়নি আরএসআরএম।

উল্লেখ্য, ২০১৪ সালে রতনপুর স্টিল পুঁজিবাজারে তালিকাভুক্ত হয়। বর্তমানে উৎপাদন বন্ধ, আর্থিক প্রতিবেদন ও লভ্যাংশ না দেয়ায় বর্তমানে কোম্পানিটি ‘জেড’ ক্যাটাগরিতে অবস্থান করছে। বর্তমানে কোম্পানিটির উদ্যোক্তা ও পরিচালকদের হাতে ২৯ দশমিক ৯৩ শতাংশ, প্রাতিষ্ঠানিক বিনিয়োগকারীদের হাতে ৩৪ দশমিক ৮ শতাংশ এবং সাধারণ বিনিয়োগকারীদের হাতে ৩৫ দশমিক ৯৯ শতাংশ শেয়ার রয়েছে। ব্যবসায়িক অশ্চিয়তার কারণে ২০২৪ সালের জানুয়ারি থেকে কোম্পানিটির শেয়ার দর কমছে। বর্তমানে কোম্পানিটির শেয়ার দর অভিহিত মূল্যের নিচে রয়েছে। গতকাল কোম্পানিটির প্রতিটি শেয়ার সর্বশেষ ৮ টাকা ৯০ পয়সায় লেনদেন হয়েছে।

In a strategic move to grow its presence in the shipping sector and boost government revenue income, Bangladesh Shipping Corporation (BSC) will, for the first time, purchase two new ocean-going vessels entirely with its own funds, investing approximately Tk900 crore.

With the purchase of two new ships expected by August or September this year, the state-owned ocean-going vessel company’s fleet will grow to seven vessels. Officials say efforts to procure four more ships with government assistance are currently underway.

To procure the two vessels, BSC floated an international tender on 4 June, seeking expressions of interest from potential bidders, with submissions due by 16 July. The selected bidders must deliver the vessels within six months of the tender award.

BPC Managing Director Commodore Mahmudul Malek told TBS, “We have assessed various financing options and concluded that investing in ships is more viable than keeping funds in fixed deposits. We expect over a dozen international bidders to participate.”

“We hope that the new bulk carriers will join our fleet by September this year,” he added.

Officials said the decision to procure the two ships was made last October at the corporation’s annual board of directors meeting, driven by growing demand in the global shipping industry and the aim to expand its footprint.

The two bulk carriers, each with a capacity of 55,000 to 66,000 tonnes and an estimated combined cost of Tk850 to Tk950 crore, will be procured from China. These vessels are built using equipment from Japan and European countries.

This fleet expansion comes nearly six years after the last one in 2018 and 2019, when six ships were acquired with foreign assistance under a government-to-government (G2G) agreement from China, with a total investment of around Tk1,500 crore.

Established in 1972, just months after the country’s independence, Bangladesh Shipping Corporation achieved record revenue and profit in the 2023-24 fiscal year since its inception, operating its existing five ocean-going vessels amid significant hikes in chartering fares in the shipping industry.

Why purchase new vessels

BSC’s fleet expansion plan aims to enhance government revenue through higher profits and support foreign currency earnings.

The project also intends to meet the country’s commercial shipping demands, improve BSC’s profitability, strengthen national food security, and develop maritime infrastructure in line with the “Blue Economy.” 

It will further aid the government in generating significant revenue from port charges, registration, repairs, insurance, taxes, and other fees associated with ship operations.

The plan to acquire two modern bulk carrier ships will raise BSC’s cargo capacity by 1.2 million tonnes annually and increase annual profits by about Tk190 crore, contributing substantial tax and dividend revenue to the government.

Overall, the state-owned corporation aims to grow its fleet capacity by over 50%, secure at least $10 million annually in foreign exchange savings and earnings, and establish a maritime logistics hub with ship repair and maintenance facilities near the port.

A journey from collapse to comeback

Established on 5 February 1972, BSC launched commercial operations just four months later with the MV Banglar Doot.

Over time, its fleet expanded to 44 ships, with 25 operating simultaneously at its peak. However, years of mismanagement and financial losses brought the corporation to the brink of bankruptcy.

By 2018, after selling off aged and unfit vessels, the fleet was reduced to just two ships. Later that year and in 2019, six new vessels were acquired with Chinese government financing worth Tk1,843 crore, raising the fleet to eight.

However, that growth faced setbacks. The MV Banglar Samriddhi was abandoned after a Russian rocket attack at Ukraine’s Olvia port in March 2022, reducing the fleet to seven. Then, in October 2023, two ageing oil tankers — MT Banglar Sourav and MT Banglar Jyoti — were severely damaged in fires and subsequently scrapped for Tk 55 crore, cutting the fleet back to five ships.

Now, with the upcoming procurement of two new bulk carriers, BSC aims to rebound and expand its fleet to seven ships by the end of this year.

Officials said the move is not only a strategic investment but also a symbolic shift in BSC’s operational approach — highlighting self-reliance, financial planning, and an intent to reestablish Bangladesh’s presence in the global maritime trade.

Amid delays in fund utilisation due to legal complications, Acme Pesticides — a producer of fertilisers, pesticides, seeds, and related agricultural products — has sought a second six-month extension to use its IPO proceeds, as the first extension expires in June.

Before applying for an extension to the Bangladesh Securities and Exchange Commission (BSEC), the publicly listed firm has called an extraordinary general meeting (EGM) on 30 July, to be held in a hybrid format, to secure shareholders’ approval.

Previously, the company’s shareholders approved fund utilisation until June at its annual general meeting (AGM) for the first time. Now, it seeks another six-month extension until December.

According to the latest report, around 32% of the funds raised through the IPO remained unutilised as of April 2025.

As per the IPO fund utilisation report prepared by Ashraf Uddin & Company, Chartered Accountants, the unutilised IPO proceeds, including accrued interest, stood at Tk9.51 crore as of 30 April.

In its prospectus, the company had intended to use Tk5.50 crore from the IPO proceeds to repay loans, but this amount remains fully unutilised due to a sub-judice matter with National Finance.

Additionally, 20.54% of the allocation for acquiring new plant and machinery, and 22.04% of the IPO expenses also remained unutilised.

The IPO fund allotments for these purposes were Tk10.50 crore and Tk1.85 crore, respectively.

With a view to expand its business, Acme Pesticides raised Tk30 crore fund from the capital market in 2021 issuing shares an IPO. The funds are supposed to utilize within 24 months.

Amid failure to use the fund within the stipulated time, the company was allowed by its shareholders to use it by June in its AGM.

Sabuj Kumar Ghosh, company secretary of Acme Pesticides, told TBS, “We have a loan repayment issue with National Finance involving around Tk5 crore. Later, National Finance filed a suit, which is now a sub judice matter. That is why we failed to utilise the fund within the stipulated timeframe.”

“We hope that, if the expected extension is granted, we will be able to fully utilise the fund,” he added.

The company’s auditor reported that no bank loan had been repaid by Acme Pesticides using IPO proceeds as of 30 April, as a money suit filed by National Finance led to the freezing of a fixed deposit amounting to Tk10.06 crore.

ACME Pesticides has raised funds for using for building and other construction, Loan repayment, Acquisition of new machinery for the company, Electric installation and IPO expenses.

Until the 2022-2023 fiscal year, the company had managed to make profit, but in 2023-24 fiscal year, it incurred a loss of Tk10.27 crore with a per share loss of Tk0.76. despite the loss, it had paid 0.25% cash dividend for its shareholders.

The loss-making situation is not improved for the 2024-25 fiscal year as it incurred a Tk13.80 crore loss with a per share loss of Tk1.02 in the first nine months.

During the July to March period, its net revenue jumped by 235% to Tk40.62 crore, which was Tk12.11 crore in the same time of the previous fiscal year.

In February, ACME Pesticides faced downgrading to the Z category as it failed to disburse declared dividend to its shareholders for FY24.

Upon disbursement of dividends, the Dhaka Stock Exchange (DSE) upgraded ACME Pesticides shares to the B category.

As of May, out of its total shares, sponsor-directors of the company held 31.80%, institutional investors 14%, and the general public held 54.20%.

সম্প্রতি বেশ কিছু নির্দেশনা সাপেক্ষে বিএসইসির মার্কেট ইন্টেলিজেন্স অ্যান্ড ইনভেস্টিগেশন বিভাগ থেকে এ সংক্রান্ত একটি চিঠি ডিএসইর ব্যবস্থাপনা পরিচালক বরাবর পাঠানো হয়েছে বলে সংশ্লিষ্ট সূত্রে জানা গেছে।

আগের সরকারের আমলে আইন লঙ্ঘন করা কোম্পানিগুলোর বিরুদ্ধে তেমন কোনো কঠোর ব্যবস্থাই নেওয়া হয়নি। তবে ক্ষমতার পট পরিবর্তনের পর পুনর্গঠিত বিএসইসির খন্দকার রাশেদ মাকসুদের নেতৃত্বাধীন নতুন কমিশন কোম্পানিগুলোর বিরুদ্ধে কঠোর ব্যবস্থা নিয়েছে।

অতএব, সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ রুলস, ২০২০ এর রুল ১৭ এবং ঢাকা স্টক এক্সচেঞ্জ (লিস্টিং) রেগুলেশন, ২০১৫ এর রেগুলেশন ৫৪(১) এর অধীনে সেন্ট্রাল ফার্মাসিউটিক্যালস লিমিটেডের ব্যবসায়িক কার্যক্রমের বিষয়গুলোর ৩০ কার্যদিবসের মধ্যে একটি পরিদর্শন কার্যক্রম পরিচালনা করার নির্দেশ দেওয়া হলো। একইসঙ্গে পরিদর্শন কার্যক্রম সম্পন্ন করার পরবর্তী ৭ কার্যদিবসের মধ্যে পরিদর্শন প্রতিবেদন কমিশনে দাখিল করার নির্দেশ দেগওয়া হলো।

যেসব বিষয় খতিয়ে দেখবে তদন্ত কমিটি
৩০ জুন, ২০২৩-২৪ সমাপ্ত অর্থবছরে কোম্পানির  লোকসান ১,০৪ কোটি ২৯ লাখ ৭৯ হাজার ৯১০ টাকা এবং ঋণের পরিমাণ ২৬ কোটি ৮৪ লাখ ৭৪ হাজার ৭৫১ টাকা। কিন্তু ঋণ পরিশোধ করতে পারেনি কোম্পানিটি। ফলে স্ট্যাটুটরি অডিটর (বিধিবদ্ধনিরীক্ষক) কোম্পানির ব্যবসায়িক কার্যক্রম পরিচালনা করার বিষয়ে উদ্বেগ প্রকাশ করেছে। সেই সাথে ব্যবসা অব্যাহত রাখার ক্ষমতা নিয়েও সন্দেহ পোষণ করেছে। এই পরিস্থিতিতে, কোম্পানির ব্যবসায়িক কার্যক্রম পরীক্ষা করা এবং চলমান পরিস্থিতিতে উদ্বেগ সংক্রান্ত কোনো হুমকি আছে কিনা তা পরীক্ষা করবে পরিদর্শন কমিটি।

এদিকে, ৩০ জুন ২০২৩-২৪ সমাপ্ত অর্থবছরে নিরীক্ষকের মতামতের ভিত্তিতে ব্যাংক ব্যালেন্স নিশ্চিতকরণসহ প্রাইম ব্যাংক লিমিটেডের মতিঝিল শাখার কোম্পানির বর্তমান আমানত এবং অন্যান্য আমানত পরীক্ষা করবে পরিদর্শন কমিটি।

ইসলামী ব্যাংক বাংলাদেশ লিমিটেডের শ্যামলী শাখায় কোম্পানির বর্তমান আমানত এবং অন্যান্য আমানত পরীক্ষা করা হবে। এর সাথে সম্পর্কিত অন্যান্য প্রাসঙ্গিক বিষয়গুলো পরিদর্শন করে দেখবে পরিদর্শন কমিটি।

এ বিষয়ে জানতে চাইলে বিএসইসির সংশ্লিষ্ট বিভাগের একজন ঊর্ধ্বতন কর্মকর্তা রাইজিংবিডিকে বলেন, “২০২৩-২০২৪ অর্থবছরের ৩০ জুন সমাপ্ত হিসাব বছরের নিরীক্ষিত আর্থিক প্রতিবেদন নিরীক্ষায় সেন্ট্রাল ফার্মাসিউটিক্যালস লিমিটেডের ব্যবসায়িক কার্যক্রম টিকিয়ে রাখা নিয়ে শঙ্কা প্রকাশ করেছে সংশ্লিষ্ট নিরীক্ষক। তাই কোম্পানির ব্যবসায়িক কার্যক্রম পরিদর্শন করে উল্লিখিত অমসঙ্গিতিগুলো খতিয়ে দেখার জন্য ডিএসইকে নির্দেশ দেওয়া হয়েছে। পরিদর্শন কার্যক্রমে কোনো অসঙ্গতি পাওয়া গেলে সে অনুযায়ী ব্যবস্থা নেওয়া হবে।”

সর্বশেষ আর্থিক অবস্থা
সর্বশেষ ২০২৪ সালের ৩০ জুন পর্যন্ত সমাপ্ত অর্থ বছরের নিরীক্ষিত আর্থিক প্রতিবেদন পর্যালোচনা করে শেয়ারহোল্ডারদের জন্য কোনো লভ্যাংশ প্রদান করেনি সেন্ট্রাল ফার্মাসিউটিক্যালস। এদিকে সমাপ্ত হিসাব বছরে কোম্পানির শেয়ার প্রতি লোকসান (ইপিএস) দাঁড়িয়েছে (০৩৫) টাকা। আগের হিসাব বছরের একই সময়ে কোম্পানিটি শেয়ারপ্রতি লোকসান ছিল (০.৩৭)। ২০২৪ সালের ৩০ জুন সমাপ্ত হিসাব বছরে কোম্পানির শেয়ার প্রতি নিট সম্পদ মূল্য দাঁড়িয়েছে ৭.০৬ টাকা।

শেয়ার ধারণ পরিস্থিতি
সেন্ট্রাল ফার্মাসিউটিক্যালস লিমিটেড পুঁজিবাজারে তালিকাভুক্ত হয় ২০১৩ সালে। ‘জেড’ ক্যাটাগরির কোম্পানির মোট পরিশোধিত মূলধন ১১৯ কোটি ৮০ লাখ ৮৪৪টাকা। সে হিসেবে কোম্পানির মোট শেয়ার সংখ্যা ১১ কোটি ৯৮ লাখ ৮৪৪টি। চলতি বছরের ৩০ এপ্রিল পর্যন্ত কোম্পানির উদ্যোক্তাদের হাতে ৭.৬৭ শতাংশ, প্রাতিষ্ঠানিক বিনিয়োগকারীদের হাতে ৬.২০ শতাংশ এবং সাধারণ বিনিয়োগকারীদের হাতে ৮৬.১৩ শতাংশ শেয়ার রয়েছে। রবিবার (২২ জুন) কোম্পানির শেয়ার সর্বশেষ লেনদেন হয়েছে ৯.৭০ টাকায়।
