DSE seeks clarification from Beacon Pharma on export halt

The Dhaka Stock Exchange (DSE) has sought an explanation from Beacon Pharmaceuticals regarding why the medicine manufacturer stopped its exports abroad without issuing any disclosure on the website of the premier bourse.

The DSE informed shareholders about seeking clarification from Beacon through a disclosure yesterday.

On March 27, the Dhaka bourse sent the query to Beacon based on a news item published in The Daily Star on the same day.

Today, the drug maker issued a disclosure on the DSE website, stating:

“Beacon Pharmaceuticals PLC has always remained committed to complying with the regulatory requirements of Dhaka Stock Exchange PLC.”

“As a publicly listed company, we consistently publish our Financial Statements and Price Sensitive Information (PSI) on a quarterly basis. In addition, our Annual Report provides a comprehensive overview of the company’s financial performance, strategies, and other relevant disclosures.”

“Regarding the sale of products to Beacon Medicare Limited, we would like to confirm that such transactions are part of our strategic and technical collaborations, and they are carried out in full compliance with the applicable regulations of the Exchange,” the pharma company added.

 

Today, the stocks of Beacon Pharmaceuticals PLC dropped 1.97 percent to Tk 119.5 on the DSE.

জব্দ করা হয়েছে ১৭ হাজার কোটি টাকার শেয়ার

ছাত্র-জনতার গণ-অভ্যুত্থানে ক্ষমতাচ্যুত প্রধানমন্ত্রী শেখ হাসিনা ও তাঁর পরিবার এবং ১০ শিল্পগোষ্ঠীর প্রায় ১৭ হাজার কোটি টাকার শেয়ার জব্দ করেছে আদালত। এ ছাড়া বিভিন্ন ব্যাংকে থাকা তাঁদের প্রায় ৪ হাজার কোটি টাকা জব্দ করা হয়েছে ও ৮৪ জনকে বিদেশযাত্রায় নিষেধাজ্ঞা দেওয়া হয়েছে। পাশাপাশি বিভিন্ন দেশে থাকা তাঁদের কিছু সম্পদও জব্দের আদেশ দিয়েছেন আদালত। দুর্নীতি দমন কমিশনের (দুদুক) আবেদনে তাদের অর্থ ও সম্পদ জব্দ করা হয়। এসব অর্থের মধ্যে বিদেশি মুদ্রা ও বিদেশে থাকা সম্পদও রয়েছে।

বিদেশে পাচার হওয়া সম্পদ দেশে ফেরত আনা এবং ব্যবস্থাপনার জন্য আন্তসংস্থা টাস্কফোর্সের সভায় এসব তথ্য জানানো হয়। এসব ঘটনায় দ্রুততম সময়ে মামলা করে তা নিষ্পত্তির নির্দেশনা দেওয়া হয় সভায়। এরপর বিদেশে পাচার হওয়া অর্থ ফেরাতে উদ্যোগ নেওয়ার জন্য পরামর্শ দেওয়া হয়েছে।

 
 

বাংলাদেশ ব্যাংকের গভর্নর আহসান এইচ মনসুরের সভাপতিত্বে গতকাল দুপুরে আন্তসংস্থা টাস্কফোর্সের সভা অনুষ্ঠিত হয়। এতে শেখ পরিবার ও ১০ শিল্পগোষ্ঠীর অনিয়ম ও অর্থ পাচার নিয়ে আলোচনা হয়। শেখ হাসিনার পরিবারের বাইরে যে ১০ শিল্পগোষ্ঠীর আর্থিক অনিয়ম নিয়ে তদন্ত চলছে, সেগুলো হলো এস আলম গ্রুপ, বেক্সিমকো গ্রুপ, নাবিল গ্রুপ, সামিট গ্রুপ, ওরিয়ন গ্রুপ, জেমকন গ্রুপ, নাসা গ্রুপ, বসুন্ধরা গ্রুপ, সিকদার গ্রুপ ও আরামিট গ্রুপ। এসব গ্রুপের পাশাপাশি গ্রুপের প্রধান ব্যক্তিদের ব্যক্তিগত আর্থিক বিষয়ও তদন্তের আওতায় আনা হয়েছে। তাঁদের কয়েকজন বাংলাদেশের নাগরিকত্ব ত্যাগ করেছেন।

অর্থ পাচারের ঘটনা তদন্তে অন্তর্বর্তী সরকারের উচ্চপর্যায় থেকে সর্বোচ্চ গুরুত্ব দেওয়া হয়। এরপরই এসব বিষয়ে জোরেশোরে কাজ শুরু করেছে পুলিশের অপরাধ তদন্ত বিভাগ (সিআইডি), জাতীয় রাজস্ব বোর্ড (এনবিআর) ও দুদকের সমন্বয়ে গঠিত যৌথ তদন্ত দল। সমন্বয়ের দায়িত্ব পালন করছে আর্থিক গোয়েন্দা সংস্থা বাংলাদেশ ফাইন্যান্সিয়াল ইন্টেলিজেন্স ইউনিট (বিএফআইইউ)। আর এ কাজের জন্য পুনর্গঠন করা হয় আন্তসংস্থা টাস্কফোর্স।

এই টাস্কফোর্সের কার্যপরিধির মধ্যে রয়েছে বাংলাদেশ থেকে বিদেশে পাচার হওয়া অর্থ বা সম্পদ চিহ্নিত করা। পাচার করা সম্পদ উদ্ধারে হওয়া মামলাগুলোর কার্যক্রম দ্রুত নিষ্পত্তি করার ক্ষেত্রে প্রতিবন্ধকতাগুলো চিহ্নিত করে তা দূর করা। বিদেশে পাচার করা অর্থ ফেরত আনার উদ্যোগ নেওয়া। জব্দ বা উদ্ধার সম্পদের ব্যবস্থাপনার উদ্যোগ গ্রহণ। এ বিষয়ে সংশ্লিষ্ট দেশি–বিদেশি সংস্থার সঙ্গে যোগাযোগ ও তথ্য বিনিময় এবং পাচার করা সম্পদ উদ্ধারে সংশ্লিষ্ট পক্ষগুলোর সক্ষমতা বৃদ্ধি ও অভ্যন্তরীণ সমন্বয় সাধন।

 

সংশ্লিষ্ট সূত্রে জানা গেছে, শেখ পরিবার ও দেশের ১০ শিল্পগোষ্ঠীর বিষয়ে বিএফআইইউ নিজে ও বিভিন্ন দেশের এফআইইউ থেকে তথ্য সংগ্রহ করেছে। এসব তথ্যের মধ্যে রয়েছে দেশের ব্যাংকগুলো থেকে নামে-বেনামে এসব শিল্পগোষ্ঠী ও ব্যক্তিরা কত টাকা ঋণ নিয়েছেন, এসব অর্থের গতিপথ, দেশের বাইরে কোথায় কত সম্পদ গড়ে তুলেছেন ও বাইরের ব্যাংকে কত অর্থ জমা আছে। এ ছাড়া ঘুষ, দুর্নীতি, প্রতারণা, জালিয়াতির তথ্যও সংগ্রহ করা হচ্ছে। পাশাপাশি কর ফাঁকি, পাচার করা অর্থের গন্তব্য—এসব অনিয়ম কোন আইনে অপরাধ হিসেবে গণ্য, তা নির্ধারণ করছে দুদক, এনবিআর ও সিআইডি। ইতিমধ্যে বেশির ভাগ ঘটনায় দোষীদের বিরুদ্ধে মামলা করেছে দুদক। আরও মামলা দায়ের প্রক্রিয়াধীন।

তদন্তসংশ্লিষ্ট কর্মকর্তারা বলছেন, তদন্তে শেখ পরিবার ও আটটি শিল্পগোষ্ঠীর বিদেশে সম্পদের খোঁজ মিলেছে। সংশ্লিষ্ট দেশের এফআইইউ এ নিয়ে বাংলাদেশকে তথ্য ও নথিপত্র দিয়েছে। এখন দেশে মামলার মাধ্যমে এসব সম্পদ জব্দের আদেশ দেওয়া হচ্ছে। বিদেশে থাকা সম্পদ জব্দে সংশ্লিষ্ট দেশের আদালতে মামলা করা হবে। এরপর সে দেশ থেকে রায় হলে সম্পদ জব্দ হবে।

তদন্তের সঙ্গে যুক্ত কর্মকর্তারা জানান, বিদেশে পাচার করা অর্থ উদ্ধারে বিশেষ অধ্যাদেশ তৈরির কাজ চলছে। অধ্যাদেশ তৈরি হলে সেটির আলোকে বিদেশে চিহ্নিত হওয়া সম্পদ জব্দ ও তা আইনি পদ্ধতিতে ফেরত আনতে বিভিন্ন প্রতিষ্ঠানকে কাজ দেওয়া হবে। কমিশন ভিত্তিতে এই কাজ পাবে বিভিন্ন প্রতিষ্ঠান। এরপর অর্থ ফেরত আনতে কয়েক বছর সময় লাগবে।

২৯০ কোটি টাকা অনাদায়ে এসএস স্টিলের সম্পদ নিলামে

ইউনাইটেড কমার্শিয়াল ব্যাংক (ইউসিবি) ২৯০ কোটি টাকার বকেয়া ঋণ আদায়ের লক্ষ্যে শেয়ারবাজারে তালিকাভুক্ত এসএস স্টিল লিমিটেডের সম্পদ নিলামে তুলেছে।

ব্যাংকের প্রগতি সরণি শাখা কর্তৃক জারি করা একটি নিলাম বিজ্ঞপ্তি শুক্রবার (১২ এপ্রিল) দৈনিক সংবাদপত্রে প্রকাশিত হয়েছে, যেখানে আগ্রহী ক্রেতাদের আগামী ৮ মে এর মধ্যে দরপত্র জমা দেওয়ার আহ্বান জানানো হয়েছে। ।

নিলামের নোটিশ অনুসারে, নারায়ণগঞ্জে ১৩৫.৭৯ শতাংশ জমি-কারখানা ভবন ও যন্ত্রপাতি এবং চট্টগ্রামে ১৯৯.১২ শতাংশ অবকাঠামোগত জমির নিলাম অনুষ্ঠিত হবে। সমস্ত সম্পদ এসএস স্টিলের মালিকানাধীন।

নিলাম বিজ্ঞপ্তিতে ব্যাংকটি জানিয়েছে, এসএস স্টিল তার জমি বন্ধক রেখে ঋণ নিয়েছে। চুক্তি অনুসারে, ঋণ আদায়ের জন্য আদালতের অনুমোদন ছাড়াই বন্ধক রাখা জমি বিক্রি করার জন্য ব্যাংক কর্তৃপক্ষকে অনুমতি দেওয়া হয়েছিল। কোম্পানিটি সময়মতো ঋণের কিস্তি পরিশোধ করতে ব্যর্থ হওয়ায় বন্ধকী জমি বকেয়া আদায়ের জন্য নিলামে তোলা হচ্ছে।

এর আগে জানুয়ারির শুরুতে ব্যাংক এশিয়া ১৬৭ কোটি ৫৬ লাখ টাকার বকেয়া ঋণ আদায়ের জন্য এসএস স্টিলের সম্পদ নিলামে তোলার ঘোষণা দিয়েছিল।

নোটিশ অনুসারে, গাজীপুরে ১৪৮.৫ শতাংশ জমি-কারখানা ভবন এবং যন্ত্রপাতি নিলামে তোলা হয়। সমস্ত সম্পদ এসএস স্টিলের মালিকানাধীন।

ব্যাংক সূত্র জানিয়েছে, কোম্পানিটি প্রথমে কার্যকরী মূলধনের জন্য একটি ডিমান্ড লোন নিয়েছিল। তবে একাধিক নোটিশ সত্ত্বেও এসএস স্টিল সময়মতো ঋণ পরিশোধ করতে ব্যর্থ হওয়ায় নিলামের প্রক্রিয়া শুরু করা হয়।

ব্যাংক এশিয়ার সাথে বিরোধ নিয়ে ঢাকা স্টক এক্সচেঞ্জের (ডিএসই) এক প্রশ্নের জবাবে কোম্পানিটি জানিয়েছিল, এসএস স্টিল তার আইন বিভাগের মাধ্যমে ব্যাংক এশিয়া এবং অন্যান্য আর্থিক প্রতিষ্ঠানের নিলাম বিজ্ঞপ্তি মোকাবেলা করবে এবং তার গ্রাহক, শেয়ারহোল্ডার এবং অংশীদারদের প্রতি প্রতিশ্রুতিবদ্ধ থাকবে।

উল্লেখ্য, ২০১৮ সালে এসএস স্টিল তার প্রাথমিক গণপ্রস্তাবের (আইপিও) মাধ্যমে শেয়ারবাজারে ২ কোটি ৫০ লাখ শেয়ার ইস্যু করে ২৫ কোটি টাকা সংগ্রহ করেছে।

২০২০ সালের আগস্টে এসএস স্টিল সালেহ স্টিলে প্রায় ১৬০ কোটি টাকা বিনিয়োগ করে এবং কোম্পানির ৯৯ শতাংশ শেয়ার অধিগ্রহণ করে। সালেহ স্টিল তার ব্র্যান্ড নামে রড এবং কয়েল উৎপাদন ও বিক্রি করে এবং এর বার্ষিক উৎপাদন ক্ষমতা প্রায় ৮৪ হাজার টন।

BB dissolves ICB Islami Bank’s board, appoints its ED as MD

Bangladesh Bank has appointed its Executive Director (ED) Mojibur Rahman as the Managing Director of ICB Islami Bank.

The central bank made the decision after dissolving the bank’s board of directors over allegations of corruption and mismanagement, reports UNB.

According to a Bangladesh Bank order, the appointment aims to safeguard the interests of depositors and the bank itself, while ensuring good governance in banking operations.

Mojibur Rahman will exercise the powers and perform the duties of both the Board of Directors and the Managing Director.

The order notes that due to significant weaknesses in the bank’s management and board, ICB Islami Bank has been facing capital and provisioning shortfalls.

It also highlights a large volume of classified investments and accumulated losses, worsened by management instability and a severe liquidity crisis. Besides, the bank’s policymaking failures have severely undermined governance and compromised depositor interests.

Crisis deepens for Hami Industries. What lies ahead?

After a significant setback, following the original owners fleeing abroad, a ray of hope emerged for Hami Industries, formerly known as Imam Button Industries, when a general shareholder took charge to run the company.

However, the company’s crisis deepened when the new owner died, leading to various non-compliance issues.

Amid the failure to publish quarterly and annual financials of the current fiscal year 2024-25, the Dhaka Stock Exchange (DSE), the primary regulator of listed firms, revealed that Hami Industries had provided misleading information to investors and violated securities laws regarding the appointment of a shareholder director to the board.

The finding stated that it falsely listed Rifat Ara Papri as a shareholder-director, claiming she held 2.589% of the company’s shares.

However, this appointment was made without approval from the company’s board of directors and was not included in any official board meeting agenda.

In September 2024, ASM Hasib Hasan, the managing director of Hami Industries PLC, passed away. Following his death, the company faced significant challenges, compounded by widespread political and economic uncertainty across the country.

On Wednesday, the company’s share price, classified under the Z or junk category, closed at Tk125.30 on the Dhaka bourse.
In February 2023, Hasib assumed the role of managing director and took responsibility for the company, aiming to revive the business.

DSE finding on shareholder director

DSE’s investigation further revealed that the company secretary and other board members were unaware of the appointment, indicating a serious lapse in corporate governance. This act by Hami Industries constitutes clear noncompliance with the regulations set by the Bangladesh Securities and Exchange Commission (BSEC), officials say.

According to a report by the DSE, the shareholding position of Hami Industries, as per the monthly reports for August and September 2024, indicated that Rifat Ara Papri was listed as a shareholder-director, holding 199,402 shares, which accounts for 2.589% of the company’s total shares. These shares were blocked in the Block Module of the Central Depository Bangladesh Limited (CDBL).

However, a review of the board meeting minutes of Hami Industries from 29 January 2024 to the present showed no discussion or approval regarding the appointment of Papri as a director. There is no official record indicating that her appointment was ever considered or endorsed by the board.

In a legal opinion collected by the DSE, it was revealed that in August 2024, Hasib informed the BSEC that Papri had been appointed as a director during a board meeting held on 17 August 2024, leading to the blocking of her shares.

However, following Hasib’s death in September 2024, it was discovered that the minutes of the mentioned board meeting contained no such agenda or resolution. Moreover, the company secretary and another director confirmed that they were unaware of her appointment.

This indicates that the blocking of Papri’s shares was based on misrepresentation by Hasib.

In light of this, the Listing Affairs Department of DSE took corrective action by updating the records in the CDBL Block Module and unblocking the shares of Papri. She is now recognised as a general shareholder, not a director.

Director appointment planned to buy shares with margin loans

Meanwhile, officials of Hami Industries, speaking on condition of anonymity, said that the company’s former managing director had submitted certain information to the Dhaka bourse and the BSEC, which later drew the attention of both the regulators and the company.

Following an internal review, it was discovered that the former managing director had purchased shares on margin through two separate Beneficiary Owner (BO) accounts, one of which belonged to Papri. He subsequently listed one of these BO account holders as a shareholder-director of the company — without proper approval or board resolution.

The issue surfaced when the involved brokerage firms issued margin calls against both BO accounts and later filed a formal complaint with the BSEC regarding one of them. While one of the complaints has already been resolved, the other case remains pending with the regulator.

Meanwhile, the company’s current management is facing difficulties, which has led to an inability to hold board meetings. In this situation, the company has applied to the BSEC for the appointment of two independent directors.

The BSEC has requested additional information from the company on this matter. However, the company’s management remains optimistic that a solution will be reached soon and normal operations will resume.

Officials of Hami Industries said they later discovered there was no fish farming project under the company’s name, and no investment had been made in such a project.

Regarding the company’s current situation, they mentioned that a fish farming project has now been established in Cumilla’s Daudkandi that is currently operational. Additionally, the main factory of the company has an active shoe manufacturing unit. A portion of the factory has also been leased out, providing the company with an additional income stream.

Hami Industries has not yet approved its annual audited financial statements for the fiscal year ending 30 June 2024, nor its unaudited quarterly financial statements for the period ending 30 September 2024.

Furthermore, it has been found from the shareholding reports of the sponsors and directors of Hami Industries that the current management has violated several securities regulations.

কাট্টালি টেক্সটাইলকে ডিএসইর’র লিস্টিং ফি পরিশোধের নির্দেশ

শেয়ারবাজারে তালিকাভুক্ত বস্ত্র খাতের কোম্পানি কাট্টালি টেক্সটাইল লিমিটেডকে ঢাকা স্টক এক্সচেঞ্জের (ডিএসই) লিস্টিং ফি এক মাসের মধ্যে পরিশোধ করার নির্দেশ দিয়েছে বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশন (বিএসইসি)।

বুধবার (০৯ এপ্রিল) অনুষ্ঠিত বিএসইসির ৯৫০তম সভায় এ সিদ্ধান্ত নেওয়া হয়।

বিএসইসি সূত্র জানিয়েছে, নির্ধারিত সময়ে ফি পরিশোধ করতে ব্যর্থ হলে কোম্পানিটির প্রত্যেক পরিচালক (স্বতন্ত্র ও মনোনীত পরিচালক ব্যতীত) ২ লাখ টাকার অর্থদণ্ডে দণ্ডিত হবেন।

এছাড়া, কোম্পানির পক্ষ থেকে ২৫ কোটি টাকার আইপিও তহবিল তছরুপের অভিযোগও দুদকে প্রেরণের সিদ্ধান্ত নিয়েছে বিএসইসি।

চীন বাদে সব দেশের ওপর নতুন শুল্ক স্থগিত করলেন ট্রাম্প

চীন বাদে যেসব দেশের ওপর পারস্পরিক শুল্ক আরোপ করা হয়েছিল সেটি ৯০ দিনের জন্য স্থগিত করেছেন যুক্তরাষ্ট্রের প্রেসিডেন্ট ডোনাল্ড ট্রাম্প। বুধবার (৯ এপ্রিল) তিনি এ ঘোষণা দিয়েছেন।

 

অন্য দেশগুলোকে ছাড় দিলেও চীনা পণ্যের ওপর মোট শুল্কের পরিমাণ ১০৪ শতাংশ থেকে বাড়িয়ে ১২৫ শতাংশ করার ঘোষণা দিয়েছেন মার্কিন প্রেসিডেন্ট।

বাংলাদেশের ওপর গত সপ্তাহে পারস্পরিক শুল্ক হিসেবে ৩৭ শতাংশ শুল্ক আরোপ করেছিলেন তিনি।

 

নিজের মালিকানাধীন সামাজিক মাধ্যম ট্রুথে এ ব্যাপারে ট্রাম্প লিখেছেন, “বিশ্ববাজারের প্রতি চীন যে অসম্মান দেখিয়েছে, সেটির ভিত্তিতে আমি চীনের ওপর শুল্কের পরিমাণ ১২৫ শতাংশে উন্নীত করছি। যা এ মুহূর্ত থেকে কার্যকর হবে।”

“একটা সময়ে, আশা করি দ্রুত চীন বুঝতে পারবে যুক্তরাষ্ট্র এবং অন্যান্য দেশকে ‘শোষন’ করার সময় বিষয়টি আর মানা হবে না।”- যোগ করেন ট্রাম্প।

 

অন্যান্য দেশগুলোর ওপর আরোপ করা পারস্পরিক শুল্ক ৯০ দিনের জন্য স্থগিত করার বিষয়টি জানিয়ে মার্কিন প্রেসিডেন্ট লিখেছেন, “বিপরীতভাবে, ৭৫টিরও বেশি দেশ যুক্তরাষ্ট্রের বিভিন্ন সংস্থার প্রতিনিধিদের বাণিজ্য, বাণিজ্য বাধা, শুল্ক, মুদ্রা জালিয়াতি, অ-আর্থিক শুল্ক নিয়ে আলোচনার জন্য ডেকেছে। এবং এই দেশগুলো আমার শক্তিশালী পরামর্শের ভিত্তিতে যুক্তরাষ্ট্রের বিরুদ্ধে কোনো পাল্টা ব্যবস্থা নেয়নি। তাদের জন্য আমি শুল্ক ৯০ দিনের জন্য স্থগিত করেছি এবং পারস্পরিক শুল্ক ১০ শতাংশে নামিয়ে এনেছি। যা তাৎক্ষণিকভাবে কার্যকর হবে। বিষয়টিতে মনযোগ দেওয়ায় আপনাকে ধন্যবাদ।”

তবে যেসব দেশ যুক্তরাষ্ট্রের পণ্য সরবরাহে শুল্কমুক্ত সুবিধা পেত। সেই সুযোগ রাখা হয়নি। বিশ্বের সব দেশকে নূন্যতম ১০ শতাংশ শুল্ক দিয়ে মার্কিনিদের কাছে পণ্য পাঠাতে হবে। বাংলাদেশি পণ্যে আগে থেকেই গড়ে ১৫ শতাংশ করে শুল্ক ছিল।

পুঁজিবাজারে বস্ত্র খাতে তালিকাভুক্ত কোম্পানি নিউ লাইন ক্লোথিংস লিমিটেডের কারখানা সরেজমিন পরিদর্শনকালে বন্ধ পেয়েছে ঢাকা স্টক এক্সচেঞ্জ (ডিএসই) কর্তৃপক্ষ।

 

মঙ্গলবার (৮ এপ্রিল) ঢাকা স্টক এক্সচেঞ্জের (ডিএসই) ওয়েবসাইট থেকে এ তথ্য জানা গেছে।

সাধারণত যেসব কোম্পানি নিয়মিতভাবে তথ্য প্রকাশ করে না বা স্টক এক্সচেঞ্জের সঙ্গে যোগাযোগ নেই, এমন কোম্পানি পরিদর্শন করে থাকে স্টক এক্সচেঞ্জ কর্তৃপক্ষ। এরই ধারাবাহিকতায় মঙ্গলবার নিউ লাইন ক্লোথিংস লিমিটেডের কারখানা এবং প্রধান কার্যালয় পরিদর্শনে যায় ডিএসইর একটি প্রতিনিধিদল। পরিদর্শনে গিয়ে কারখানা বন্ধ দেখতে পান তারা।

মুনাফা দেখিয়ে লোকসানে বিতর্কিত সিলভা ফার্মা

পাঁচ বছরের সম্পদ, ব্যবসায়িক কার্যক্রম ও আর্থিক সক্ষমতা খতিয়ে দেখবে নিয়ন্ত্রক সংস্থা বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশন (বিএসইসি)। প্রসপেক্টাসে অতিরঞ্জিত তথ্য দিয়ে তালিকাভুক্তি, আইপিও’র অর্থ ব্যয়ের নির্দেশনা মেনে না চলা, মুনাফা দেখিয়ে বাজারে এসে লোকসানে জড়িয়ে পড়াসহ বেশকিছু কারণে বিতর্কের মুখে ওষুধ ও রসায়ন খাতের কোম্পানি সিলভা ফার্মাসিউটিক্যালস। কোম্পানিটির বিরুদ্ধে ওঠা অভিযোগ খতিয়ে দেখছে বিএসইসি।

তথ্যমতে, সিলভা ফার্মার বিরুদ্ধে ওঠা বিভিন্ন অভিযোগ ও লোকসানের কারণ খতিয়ে দেখতে তিন সদস্যের তদন্ত কমিটি গঠন করেছে বিএসইসি। বিএসইসির উপ-পরিচালক মাওদুদ মোমেন, সহকারী পরিচালক তš§য় কুমার ঘোষ ও মারুফ হাসানের সমন্বয়ে গঠিত কমিটি কমিটিকে ৬০ দিনের মধ্যে প্রতিবেদন দেয়ার নির্দেশ দিয়েছে নিয়ন্ত্রক সংস্থা। বিএসইসির পক্ষ থেকে তদন্তের বিষয়টি সিলভা ফার্মাসিউটিক্যালসের ব্যবস্থাপনা পরিচালককে লিখিতভাবে  অবহিত করা হয়েছে।

বিএসইসির দায়িত্বশীলরা বলছেন, পুঁজিবাজার ও সাধারণ বিনিয়োগকারীদের স্বার্থেই সিলভা ফার্মাসিউটিক্যালসের গত পাঁচ বছরের দায়-সম্পদ, আর্থিক সক্ষমতা ও ব্যবসায়িক কার্যক্রম তদন্ত করে দেখা হচ্ছে। তদন্ত কমিটি ২০২০ থেকে ২০২৪ আর্থিক পর্যন্ত ৫ বছরের নিরীক্ষিত আর্থিক প্রতিবেদন পর্যালোচনা করবে।

সূত্রগুলো বলছে, আইপিওর মাধ্যমে পুঁজিবাজার থেকে তোলা অর্থের ব্যবহারের বিষয়ে তদন্ত করবে। একইভাবে তালিকাভুক্তির আগে প্রি-আইপিওর মাধ্যমে উত্তোলিত মূলধনের ব্যবহার এবং আইপিও প্রসপেক্টাসের আর্থিক প্রতিবেদনের তথ্য পর্যালোচনা করবে বিএসইসি।

তালিকাভুক্তির পর থেকে বিগত ৬ বছরেও আইপিওর মাধ্যমে সংগৃহীত অর্থ ব্যয় করতে পারেনি। এরই মধ্যে আইপিওর অর্থ ব্যবহারে কোম্পানিটি ৫ দফা সময় বাড়িয়েছে। তবুও ওই অর্থ ব্যায় করতে ব্যর্থ হয়েছে কোম্পানিটি। এবার কোম্পানিটির বিরুদ্ধে আইপিওর অর্থ ব্যয়ে সিকিউরিটিজ আইন লঙ্ঘনের অভিযোগ উঠেছে। চলতি বছরের গত ফেব্রুয়ারিতে আইপিওর অর্থ ব্যয়সংক্রান্ত প্রতিবেদন নিরীক্ষা করেছে পিনাকী অ্যান্ড কোম্পানি চার্টার্ড অ্যাকাউন্ট্যান্টস আইন লঙ্ঘনের তথ্য জানিয়েছে।

খোঁজ নিয়ে জানা গেছে, লোকসানের জন্য বিভিন্ন সময়ে প্রকাশিত আর্থিক প্রতিবেদনে কভিড-১৯ মহামারি, চলমান রাশিয়া-ইউক্রেন যুদ্ধের কারণে সাপ্লাই-চেইনের বিঘ্ন ঘটা ও মার্কিন ডলারের বিপরীতে টাকার অবমূল্যায়নের কারণে অতিরিক্ত ব্যয়কে লোকসানের জন্য দায়ী করছে কোম্পানিটি।

২০২৪ সালের ডিসেম্বর পর্যন্ত দ্বিতীয় প্রান্তিকের আর্থিক প্রতিবেদনে ৪৮ পয়সা শেয়ারপ্রতি লোকসান দেখিয়েছে সিলভা ফার্মা; যা আগের বছরের একই সময়ে ছিল ১২ পয়সা। অর্থাৎ এক বছরে কোম্পানিটির লোকসান ৩০ পয়সা বেড়েছে। ২০২৪ সালের ডিসেম্বর শেষে শেয়ারপ্রতি নেট সম্পদমূল্য (এনএভি) দাঁড়িয়েছে ১৬ টাকা ২ পয়সায় দাঁড়িয়েছে; যা এর আগের আর্থিক বছরের একই সময়ে ছিল ১৬ টাকা ৫৩ পয়সা। অর্থাৎ এক বছরে কোম্পানিটির শেয়ারপ্রতি সম্পদমূল্যও কমেছে।

এদিকে তালিকাভুক্তির পর থেকে আয় কমার কারণ দেখিয়ে নামমাত্র মুনাফা দিচ্ছে সিলভা ফার্মা। গত ৫ বছরের মধ্যে ২০২০ ও ২০২১ সালে সর্বোচ্চ ৫ শতাংশ নগদ লভ্যাংশ দিয়েছে কোম্পানিটি। এরপর ২০২২ সালে দুই শতাংশ কমিয়ে মাত্র ৩ শতাংশ নগদ লভ্যাংশ দিয়েছে নিরীক্ষিত আর্থিক প্রতিবেদন বিশ্লেষণ করে বিনিয়োগকারীদের জন্য ৩ শতাংশ নগদ লভ্যাংশ দিয়েছে। আর সর্বশেষ ২০২৩ ও ২০২৪ আর্থিক বছরে বিনিয়োগকারীদের মাত্র এক শতাংশ নগদ লভ্যাংশ দিচ্ছে কোম্পানিটি; যার কারণে কয়েক বছর ধরেই জেড ক্যাটেগরিতে অবস্থান করছে বিতর্কিত সিলভা ফার্মা।

বিশ্লেষকরা বলছেন, বিভিন্ন সময়ে মিথ্যা তথ্য দিয়ে পুঁজিবাজারে অনেক বিতর্কিত কোম্পানি তালিকাভুক্ত হয়েছে। এর মধ্য দিয়ে কোম্পানিগুলো পুঁজিবাজার থেকে বিপুল পরিমাণ অর্থ তুলে নিয়েছে। স্বৈরাচারী সরকারের ১৬ বছরের নিয়ন্ত্রক সংস্থা বিএসইসির দায়িত্বশীলদের অনিয়ম-জালিয়াতির কারণেই কোম্পানিগুলো বাজারে এসেছে। আর বাজারে আসার পর উত্তোলিত অর্থ সরিয়ে নিয়ে বা ভিন্ন খাতে ব্যয় করে কোম্পানিকে দুর্বল করে ফেলেছে। পরে লোকসানের জন্য বিভিন্ন অজুহাত দাঁড় করিয়েছে। যেসব কোম্পানির জাল-জায়িয়াতির বিষয়ে  নিয়ন্ত্রক সংস্থার দায়িত্বশীলরা নীরব ছিলেন। কখনও-বা তাদের প্রত্যক্ষ মদদেই সবকিছু হয়েছে বলে অভিযোগ রয়েছে।

২০২৪ সালের জুলাইয়ে স্বৈরাচারী সরকারের পতনের মধ্য দিয়ে রাজনৈতিক পটপরিবর্তনের পর অন্তর্বর্তী সরকার পুঁজিবাজারকে শক্তিশালী করতে সংস্কারের উদ্যোগ নিয়েছে। পুনর্গঠন করা হয়েছে ডিএসই-বিএসইসি। সেই সঙ্গে দুর্বল, বিতর্কিত কোম্পানির জালিয়াতির বিরুদ্ধে সক্রিয় হয়ে উঠছে। এর জের ধরেই সিলভা ফার্মার বিষয়টি সামনে এসেছে। 

২০২৪ সালের ৩০ জুন সমাপ্ত হিসাববছরের নিরীক্ষিত আর্থিক প্রতিবেদন পর্যালোচনা করে সিলভা ফার্মাসিউটিক্যালসের পরিচালনা পর্ষদ শেয়ারহোল্ডারদের জন্য নামমাত্র ১ শতাংশ নগদ লভ্যাংশ দিয়েছে। সর্বশেষ ৩০ জুন, ২০২৪ হিসাব বছরে কোম্পানির শেয়ারপ্রতি লোকসান (ইপিএস) হয়েছে ৪৭ পয়সা। আগের হিসাববছরে কোম্পানির শেয়ারপ্রতি লোকসান ছিল ২৪পয়সা । ২০২৪ সালের ৩০ জুন পর্যন্ত কোম্পানির শেয়ারপ্রতি নিট সম্পদ মূল্য (এনএভিপিএস) দাঁড়িয়েছে ১৬ দশমিক ৫৩ টাকা।

সর্বশেষ চলতি অর্থ বছরের দ্বিতীয় প্রান্তিকে (অক্টোবর-ডিসেম্বর, ২০২৪) কোম্পানির শেয়ারপ্রতি লোকসান (ইপিএস) হয়েছে ১৯ পয়সা । গত হিসাব বছরের একই সময়ে কোম্পানির শেয়ারপ্রতি লোকসান ছিল দশমিক শ–ন¿ ৬ টাকা। অন্যদিকে, অর্ধবার্ষিক বা ৬ মাসে (জুলাই-ডিসেম্বর, ২০২৪) কোম্পানির শেয়ারপ্রতি লোকসান (ইপিএস) হয়েছে দশমিক ৪৩ টাকা। গত হিসাব বছরের একই সময়ে কোম্পানির শেয়ারপ্রতি লোকসান ছিল  দশমিক ১২) টাকা। ২০২৪ সালের ৩১ ডিসেম্বর পর্যন্ত কোম্পানির শেয়ার প্রতি সম্পদ (এনএভি) হয়েছে ১৬ দশমিক শ–ন¿ ২ টাকা।

সিলভা ফার্মাসিউটিক্যালস পুঁজিবাজারে তালিকাভুক্তি হয় ২০১৮ সালে। ‘বি’ ক্যাটাগরির এ কোম্পানির মোট পরিশোধিত মূলধন ১৩৬ কোটি ৫০ লাখ টাকা। সে হিসেবে কোম্পানির মোট শেয়ার সংখ্যা ১৩ কোটি ৬৫ লাখ। চলতি বছরের ২৮ ফেব্রুয়ারি পর্যন্ত কোম্পানির উদ্যোক্তাদের হাতে ৪৫.২১ শতাংশ, প্রাতিষ্ঠানিক বিনিয়োগকারীদের হাতে ১৫ দশমিক ৭৮ শতাংশ, বিদেশি বিনিয়োগকারীদের হাতে দশমিক শ–ন¿ কে শতাংশ ও সাধারণ বিনিয়োগকারীদের হাতে ৩৯ শতাংশ শেয়ার রয়েছে। ২০২৪ সালের ৩০ জুন পর্যন্ত কোম্পানির স্বল্প মেয়াদি ঋণ রয়েছে ৪ কোটি ৭৭ লাখ ১০ হাজার টাকা।

Reckitt Benckiser to pay record dividends for 2024 despite lower profit

After giving a decade low dividend in 2023, Reckitt Benckiser declared the highest-ever 3,330 per cent cash dividend for 2024, despite making a lower profit in the year compared to the previous year.

The UK-based multinational firm, which sells health and hygiene products, raked in Tk 752 million in 2024, down from Tk 820 million the year before.

Subsequently, earnings per share (EPS) stood at Tk 159.17 for 2024 from Tk 173.65 in the previous year, according to price-sensitive information published on Monday.

Despite the lower profit, the board of directors of the company decided to give Tk 333 per share in dividends, the highest since its listing on the stock exchanges.

This is the second highest annual cash dividend declared by any company in Bangladesh’s stock market after Linde Bangladesh, market operators said.

Presently, the number of Reckitt’s outstanding shares is 4.72 million. It will pay Tk 1.57 billion in cash dividends to its shareholders against a profit of Tk 720 million in 2024.

That means the company will spend an additional Tk 421 million from the retained earnings or reserve.

Sponsor-directors of the company, however, will get most of the dividend amounts as they jointly hold 82.96 per cent stakes in Reckitt Benckiser at present.

Due to the record dividend declaration, the company’s dividend yield is estimated at an all-time high of 8.43 per cent for 2024.

Analysts attributed the sharp rise in dividend payouts to the stronger foreign exchange reserves allowing multinational companies to repatriate profits more smoothly than before.

The unprecedented dividend payout indicates that the dollar crisis eased and exchange rates attained stability, said Akramul Alan, head of research at Royal Capital.

In the past two years, the multinational companies faced hurdles in repatriating dividends due to the greenback shortage.

The multinational companies’ recent trend to recommend higher dividends may also bear signs of worry.

“When the reinvestment opportunity squeezes, the cash-surplus companies announce higher dividends to their shareholders, which will be paid from retained earnings,” said Mr Alam.

Requesting anonymity, a company official said that owing to lower sales amid inflationary pressure, profit dropped more than 8 per cent year-on-year to Tk 720 million in 2024.

The company managed to offset some of the costs by increasing product prices, but higher costs of sales and increased net operating expenses eroded the bottom-line growth.

The net operating cash flow per share of the company, an indicator that shows a company’s ability to generate cash from its operations, fell drastically to Tk 22.55 per share in 2024 from Tk 253.57 in 2023.

The company disbursed last four years’ royalty to the parent company — Reckitt Benckiser Heath Ltd, UK — worth Tk 756 million in June last year. As a result, the cash flow shrinks significantly, said the company in its earnings note.

The net asset value, which refers to the excess of total assets over total liabilities, however, reached Tk 350.64 per share in 2024, up from Tk 252.69 a year ago.

Meanwhile, the stock fell 2.64 per cent to Tk 3,947.7 per share on the Dhaka bourse on Monday, still remaining the most-valued stock in the market.

The company will hold an annual general meeting (AGM) on May 28. The record date for dividends is April 29.

Although the company is yet to disclose annual revenue figures for 2024, its nine-month revenue was Tk 4.02 billion, slightly decreased from Tk 4.05 billion in the same period of the previous year.

Reckitt Benckiser had seen its business growth accelerate after the Covid outbreak in 2020 when the use of hygiene products shot up in measures to contain the spread of the Coronavirus.

Its top-selling products are Dettol and Harpic.

As the pandemic waned, the demand for hygiene products started to diminish while the inflationary pressure squeezed people’s capacity to buy even essential items. At the same time, the taka became cheaper against the dollar, increasing import costs.

High inflation affected consumption patterns. Many people shifted from branded products to non-branded ones to cope with higher expenses.
